Canadian Pacific Buys Kansas City Southern For $25BN In Largest Deal Of 2021
Canadian Pacific Railways has agreed to buy Kansas City Southern for $25 billion ($28.9 billion including debt) in the largest takeover deal this year. The transaction which sees CP take over the smallest of the seven Class 1 railway operators that dominate a significant share of freight activity in the US, is the biggest in CP’s history and will create a 20,000-mile rail network including the first U.S.-Mexico-Canada railroad.
As the FT, which first reported the transaction, notes, the deal marks the latest effort to shake up a structure among the big railroads in the US and Canada that has been unchanged since CSX and Norfolk Southern — the two big operators in the eastern US — took over Conrail and divided it between themselves in 1999. The transaction gives CP access to the Kansas City, Missouri-based company’s sprawling Midwestern rail network that connects farms in Kansas and Missouri to ports along the Gulf of Mexico. It would also give it reach to Mexico, which made up almost half of Kansas City Southern’s revenue last year, and create the only network that cuts through all three North American countries. The Calgary-based company will pay $275 per share - a 23% premium to Friday’s record close - comprised of $90 in cash and the remainder with its stock, receiving 0.489 CP shares for every share they own. To pay for the deal, CP will issue 44.5 million new shares and raise $8.6bn in debt. according to a statement from both companies on Sunday. Shares of Kansas City Southern have more than doubled in the past year. Last September, the company rejected a takeover bid from a Blackstone and Global Infrastructure Partners-led consortium that valued its shares at $21BN.
The two companies notified the Surface Transportation Board, the US freight rail regulator that will need to approve the combination, about the deal on Saturday, people with direct knowledge of the matter said.
Investors have been concerned that any further consolidation would run into problems with the STB. As it stands, there are two competing big operators in Canada (CP and Canadian National), CSX and Norfolk Southern in the eastern US and Union Pacific and BNSF in the west. Kansas City Southern, the smallest Class 1, is the only operator focused on north-south operations. The FT also notes that Kansas City Southern’s performance has been closely tied to trade between the US, Canada and Mexico, with its main routes linking the two countries neighbouring the US. It also has extensive operations in Mexico and owns a 50% stake in the Panama Canal Railway Company. The railway sector was hit hard in the early phase of the pandemic because of restrictions imposed by the US government to contain the spread of coronavirus.
As a result, Kansas City Southern reported an 8% drop in revenues in 2020 to $2.6bn and a 23% increase in net income to $617m. But prospects have improved in recent months, as the US accelerated its rollout of vaccines and business activity picked up. Biden’s efforts to strengthen US-Mexico trade relations - especially if Mexico agrees to hold the migrants that Biden initially invited - are expected to further boost railway activity. KCS employs about 6,200 staff compared with nearly 12,000 at the Canadian group.

Turkey Bulls Are Wrong-Footed After Central-Bank Hawk’s Ouster
Global investors who had wagered on Turkey’s return to a more orthodox monetary policy braced for a rough ride after President Recep Tayyip Erdogan replaced the central bank’s hawkish governor with an advocate of low rates.
Erdogan fired Governor Naci Agbal, who had boosted the central bank’s credibility by delivering 875 basis points of interest-rate increases since his appointment in November. While Agbal’s shift toward market-friendly policies helped make the lira the best carry-trade currency this year through March 19, the gains may unravel after the president gave the job to Sahap Kavcioglu, a professor of banking at Marmara University in Istanbul and a columnist at the pro-government Yeni Safak newspaper. Any weakness in the lira could add to inflationary pressures building in the economy and erode Turkey’s real rate, currently the highest in emerging markets after Egypt’s.
The lira had strengthened about 18% under Agbal’s watch as he ended a complicated funding structure and pledged to ensure price stability. His abrupt removal comes on the heels of a 200 basis-point interest-rate hike on Thursday, double what was expected in a Bloomberg survey, amid accelerating inflation. Last year, Turkish banks spent more than $100 billion of the nation’s foreign reserves to support the sinking currency, according to a report by Goldman Sachs Group Inc. That prompted calls by Turkish opposition for a judicial probe into the nation’s official reserves. In comparison, foreign investors purchased a net $4.7 billion worth of Turkish stocks and bonds in the months following Agbal’s appointment. Overseas inflows to Turkey through swaps were about $14 billion during that period, Istanbul-based economist Haluk Burumcekci said.
Among those who may find themselves on the wrong side of the trade are Japanese retail investors-i.e the BOJ. Long positions by individuals in lira-yen stood at 263,585 contracts as of Friday. They’ve climbed about 9% since the start of the year.

Vice President Kamala Harris will travel to Jacksonville on Monday to tout the administration's $1.9 trillion coronavirus stimulus plan, according to an administration source.
It will be her first visit since crisscrossing Florida last fall during the presidential campaign.
Details of next week's visit were not yet revealed. But Harris' stop in the Sunshine State is part of the administration's "Help is Here" tour to highlight what it says are the benefits of the American Rescue Plan President Joe Biden signed into law on March 11.

NASA Signs Lease with Google Subsidiary for Moffett Field
NASA has signed an agreement to lease Moffett Federal Airfield, run by the agency’s Ames Research Center, to a company owned by Internet giant Google.
The 60-year lease agreement between NASA and Planetary Ventures LLC gives the company control of the 400-hectare airfield, including three hangars, two runways, a flight operations building and a golf course. The lease will provide NASA with $1.16 billion in rent payments over the lifetime of the lease, and save the agency $6.3 million per year in facility maintenance costs. As part of the lease, Planetary Ventures will also invest more than $200 million in improvements to the airfield, including the refurbishment of Hangar One. The facility, on the National Register of Historic Places, had its exterior panels removed in 2012 as part of an environmental remediation project.

Turkey’s Lira Plunges After Upheaval at Central Bank
The Turkish lira plunged as much as 15% following President Recep Tayyip Erdogan’s shock decision to replace the country’s central-bank chief.
It was quoted at 8.2247 at 10:01 a.m. Sydney time after earlier weakening to 8.4707 per dollar. That erased more than four months of gains since the now ex-governor Naci Agbal was appointed in November and putting the lira within a few percentage points of a record low reached earlier that month. Erdogan’s decision to fire Agbal, who had sought to restore the central bank’s credibility, is a blow to investor confidence and raises concern the country will once again embark on a path of rock-bottom rates. The initial backlash exceeded some analysts’ estimates, and marks a swift reversal of investor enthusiasm toward Turkish markets. That now seemingly sated appetite had helped make the lira the best carry-trade currency this year, with money managers cheering Agbal’s move to raise interest rates and efforts to bring inflation under control.
A rush to sell the currency in thin liquidity as trading got underway in Asia overwhelmed support for the lira from state banks, according to an FX trader familiar with the transactions, who asked not to be identified because the person isn’t authorized to speak publicly.

Billy and this AC have been known to travel between these locations 2-3x a day in the past but not recently.
The AC appears today (0322 GMT) heading nw to Seattle.
The last cap I have of Billy Boi is from 0205 and it left Seattle and arrived at Indio-Cochran Airport-cap #2
The history function in ADS-B does not show any AC in the air at all on 0205 and says "No data available"-see cap #2 for that data……
Unless Billy Boi has been camped at his house in Indian Wells-cap#3 since February 5th (NFW) the displayed part of the data for this AC is being tampered/withheld in some way.
