Twitter Sells $1 Billion In Junk Bonds To Pay For Stock Buyback

 

Two weeks ago, Twitter reported disappointing results including a miss on user growth and losing money in 2021, but the stock spiked nonetheless after the "growth" company announced it had approved a $4 billion stock buyback program. The news helped support the slumping stock, sending it briefly to the highest level since the start of the year, before the slide resumed. However, with the company's cash just over $6 billion, and Twitter still burning cash, it was obvious that management would need to raise new debt to fund much if not all of this new gift to shareholders. And today it did just that, when it announced that it would tap the junk bond market (TWTR is rated Ba2/BB) to raise $1 billion to fund the company's stock buyback, as well as pay down existing debt and pursue potential acquisitions. But mostly fund the stock buyback.

 

According to Bloomberg, the eight-year unsecured notes may be sold as soon as Wednesday, and will have a coupon around 5%:

What about actually spending some of the new debt on growth and/or M&A? The answer, unlikely: “From time to time Twitter evaluates potential strategic transactions and acquisitions of businesses, technologies or products,” the statement said. “Currently, however, Twitter does not have any agreements with respect to any such material strategic transactions or acquisitions.

 

Which begs the question: while companies have issued billions (if not trillions) in debt in recent years to fund buybacks - which only benefit management and, briefly, shareholders - when will companies actually use debt to fund growth?

 

Then again if bondholders are still so stupid as to directly transfer funds from their pocket to the pocket of management and shareholders in exchange for a modest pick up in yield, then Twitter would be stupid not to take the money, especially since after the next crash the company can just apply for another PPP loan and get bailed out courtesy of US taxpayers.

Philip Morris Eyes Smaller Deals Amid Push Into Wellness Field

 

Philip Morris International Inc. may make smaller deals to help build a multibillion-dollar health and wellness business by 2030 as global cigarette demand weakens. The company will invest as much as $200 million annually over the next three years to develop a pipeline of health and wellness products, Chief Executive Officer Jacek Olczak said Wednesday in an online presentation at the Consumer Analyst Group of New York conference. “The emphasis is on organic product development to deliver these revenues, with the possibility of smaller bolt-on acquisitions and co-development and partnerships to complement,” he said.

 

Philip Morris has already made a series of acquisitions including inhaled-therapy maker Vectura Group Plc and Fertin Pharma, which produces a smoking-cessation aid, to bolster the health push. The company aims to generate more than $1 billion from products outside nicotine by 2025. Olczak pointed to several focus areas in the pipeline. In health care, the company sees unmet patient needs for fast and effective treatments for cardiologic or neurological conditions, such as heart attacks or migraine headaches. Pain management with medical cannabis is another area of interest, Olczak said, although the company won’t be participating in recreational cannabis market. In wellness, possible areas for expansion include sleeping aids, energy boosters, as well as smoking-cessation and anxiety products. The company is evaluating the use of the cannabis-based product CBD in some of these areas. “We see opportunities to provide more effective solutions via consumer, over-the-counter and prescription pathways over time,” Olczak said. The health-care offering will start to bear fruit by 2025, he said.

 

The shares rose 0.4% at 10:38 a.m. in New York.

VEB, the Russian Bank Sanctioned by Biden Yesterday, Has an Uncomfortable History with Jared Kushner, JPMorgan and Citigroup

 

Yesterday, President Biden announced a roster of sanctions against Russia over its aggression against Ukraine. (A much broader set of sanctions is planned against Russia by the U.S. and its allies if there is a full-scale invasion of Ukraine by Russia, according to U.S. government officials.) One of the entities sanctioned yesterday was state-owned Russian bank Vnesheconombank (VEB).

 

In a related statement on the sanctions by the U.S. Treasury, it describes VEB as follows: “VEB’s $53 billion asset portfolio makes it large enough to be among Russia’s top five financial institutions. VEB occupies a unique role in Russia’s financial system as the servicer of Russia’s sovereign debt, financier for exports, and a funding source for investment projects with a loan portfolio of over $20 billion. VEB finances Russia’s national economic development, including large-scale projects to develop domestic infrastructure and other industries that are critical to Russia’s generation of revenue.” The problem is that VEB has already been under U.S. sanctions since July 16, 2014 as a result of Russia’s earlier efforts to destabilize eastern Ukraine and its occupation of Crimea. Those sanctions did not work out so well.

 

In 2017 Wall Street On Parade reported that some of the biggest U.S. mutual fund families, including JPMorgan, PIMCO, Putnam, Fidelity and Vanguard, were sitting with hundreds of millions of dollars of that sanctioned Russian bank’s bonds and notes in their mutual fund portfolios. (That exposure has materially changed since that time. As of December 31, 2021, U.S. mutual funds’ holdings of VEB debt were negligible.)

 

Then there was the December 2016 meeting by VEB’s then Chairman, Sergey Gorkov, a former intelligence officer appointed by Russian President Vladimir Putin, with Jared Kushner, then President-elect Donald Trump’s son-in-law and advisor. Reuters reported in May 2017 that “FBI investigators are examining whether Russians suggested to Kushner or other Trump aides that relaxing economic sanctions would allow Russian banks to offer financing to people with ties to Trump, said the current U.S. law enforcement official.”

 

In June 2017 the New York Times reported that when Gorkov came to Manhattan to meet with Kushner in December 2016, he also “met with bankers at JPMorgan Chase, Citigroup and another, unidentified American financial institution.” The article notes that “Goldman Sachs bankers also tried to arrange a meeting but ultimately had a scheduling conflict.”

 

The same New York Times article includes a curious sentence: “Citi and JPMorgan had long, established relationships clearing financial transactions for VEB in the United States, activities not affected by the sanctions.”

 

If the U.S. was dead serious about imposing meaningful sanctions on Russia, why would it allow two of the largest global banks in the U.S. to continue clearing financial transactions for a state-owned Russian bank on a U.S. sanctions list?

 

It was not at all clear how the New York Times had made that determination. According to the exact language of the sanctions, any transactions between U.S. banks and VEB may have been unlawful or, at the very least, frowned upon by the U.S. government. The sanctions, imposed on July 16, 2014, read as follows:

 

“In response to Russia’s continued attempts to destabilize eastern Ukraine and its ongoing occupation of Crimea, the U.S. Department of the Treasury today imposed a broad-based package of sanctions on entities in the financial services, energy, and arms or related materiel sectors of Russia…

 

“Today, Treasury Secretary Jacob J. Lew determined that persons operating within Russia’s financial services sector may now be subject to targeted sanctions. Following Secretary Lew’s determination, Treasury imposed measures prohibiting U.S. persons and persons within the United States from transacting in, providing financing for, or otherwise dealing in new debt of longer than 90 days maturity or new equity for Gazprombank OAO and VEB, their property, or their interests in property. As a practical matter, this step will close the medium- and long-term U.S. dollar lending window to these banks, and will impose additional significant costs on the Russian Government for its continued activities in Ukraine.”

 

Both Citigroup and JPMorgan Chase were involved in large scale debt issuance for VEB prior to the sanctions. Reuters reported in 2010 that the two banks were among the bookrunning managers for $1.6 billion in VEB Finance Loan Participation Notes.

 

Another VEB prospectus indicates that on December 18, 2012 “VEB signed a U.S. $800 million three-year syndicated loan agreement and received the loan on 15 January 2013…The lead-arrangers and bookrunners for the loan were The Bank of Tokyo-Mitsubishi UFJ, Barclays Bank, BNP Paribas, Citibank, Commerzbank AG, Credit Agricole, Deutsche Bank, HSBC, ING Bank, J.P. Morgan and Mizuho Corporate Bank.” Citibank’s parent is Citigroup.

U.S. President Joe Biden denounced the “unprovoked and unjustified” attack on Ukraine and said the world will “hold Russia accountable.” As Putin spoke, big explosions were heard in Kyiv, Kharkiv and other areas of Ukraine.

 

A full-blown Russian invasion could cause massive casualties and topple Ukraine’s democratically elected government. And the consequences of the conflict and resulting sanctions levied on Russia could reverberate throughout the world, affecting energy supplies in Europe, jolting global financial markets and threatening the post-Cold War balance on the continent.

 

He said the Russian military operation aims to ensure a “demilitarization” of Ukraine. Putin urged Ukrainian servicemen to “immediately put down arms and go home.”

 

Putin announced the military operation after the Kremlin said rebels in eastern Ukraine asked Russia for military assistance to help fend off Ukrainian “aggression.” The announcement immediately fueled fears that Moscow was offering up a pretext for war, just as the West had warned.

 

A short time later, the Ukrainian president rejected Moscow’s claims that his country poses a threat to Russia and said a Russian invasion would cost tens of thousands of lives.

 

“The people of Ukraine and the government of Ukraine want peace,” President Volodymyr Zelenskyy said in an emotional overnight address, speaking in Russian in a direct appeal to Russian citizens. “But if we come under attack, if we face an attempt to take away our country, our freedom, our lives and lives of our children, we will defend ourselves. When you attack us, you will see our faces, not our backs.”

 

Zelenskyy said he asked to arrange a call with Putin late Wednesday, but the Kremlin did not respond.

 

In an apparent reference to Putin’s move to authorize the deployment of the Russian military to “maintain peace” in eastern Ukraine, Zelensky warned that “this step could mark the start of a big war on the European continent.”

 

“Any provocation, any spark could trigger a blaze that will destroy everything,” he said.

 

He challenged the Russian propaganda claims, saying that “you are told that this blaze will bring freedom to the people of Ukraine, but the Ukrainian people are free.”

 

The United Nations Security Council quickly scheduled an emergency meeting Wednesday night at Ukraine’s request. Ukrainian Foreign Minister Dmytro Kuleba called the separatists’ request “a further escalation of the security situation.”

 

Anxiety about an imminent Russian offensive against its neighbor soared after Putin recognized the separatist regions’ independence on Monday, endorsed the deployment of troops to the rebel territories and received parliamentary approval to use military force outside the country. The West responded with sanctions.

 

Kremlin spokesman Dmitry Peskov said the rebel chiefs wrote to Putin on Wednesday, pleading with him to intervene after Ukrainian shelling caused civilian deaths and crippled vital infrastructure.
