Twitter's stock falls after Musk calls refusal to provide spam/fake account info a 'material breach' of the buyout deal

Exactly wut I have been saying-needs to prove "adverse material effect" but he can't just say it-it must be PROVED-and as already discussed good luck getting the SEC/FTC or a third-party accounting firm to cooperate with that-he wants out at the $54.10/sh price because the premium he is paying (now at $15.60/sh is most likely what is worth per share with all the 'bots and fuggery it has). They want to unload this to him so bad at the agreed upon price of $54.10 and can't wait to get that deal done. He has already agreed to a $1B separation fee if he chooses to terminate for his own reasons-ala not being able to prove this or cold feet-it doesn't matter what the reason is if he cannot PROVE adverse material affect'''

TWTR 38.50-1.66 (-4.13%)

Shares of Twitter Inc. TWTR, -3.56% sank 5.0% in premarket trading Monday, after Elon Musk disclosed that he reiterated his request for information has he evaluates the number of spam and fake accounts on the social media company's platform. In a letter to Twitter via Skadden, Arps, Slate, Meagher & Flom LLP, Musk, the Tesla Inc. TSLA, 1.98% chief executive who has agreed to buy Twitter for $54.20 a share, said the refusal to provide the information is a "clear material breach" of Twitter's obligations under the merger deal, and Musk therefore reserves the right to terminate the deal if he chooses. Tesla's stock rallied 3.5% in premarket trading. "As Twitter's prospective owner, Mr. Musk is clearly entitled to the requested data to enable him to prepare for transitioning Twitter's business to his ownership and to facilitate his transaction financing," the letter stated. "To do both, he must have a complete and accurate understanding of the very core of Twitter's business model-its active user base." Musk said Twitter's refusal to provide the information makes him suspicious, and raises concerns over what he might uncover from the requested information. Twitter's stock has shed 7.1% year to date through Friday, while the S&P 500 SPX, 0.87% has lost 13.8%.

Inflation Prompts White House To Cut Tariffs

P-A-N-I-C..that genie left the bottle last year all you are doing is reacting and that is NOT gonna do shit-good Luck Gina

With inflation strangling the economy and Joe Biden's approval rating scraping along at a sub-Trump 41%, the White House is under increasing pressure to take conspicuous action against inflation soon.

According to Pew Research, Americans consider price inflation the biggest problem facing the country by far, with 93% saying it's a "very big" or "moderately big" problem. Meanwhile, just 28% of voters approve of Joe Biden's handling of the issue.

Against that grim political backdrop, in a Sunday appearance on CNN's "State of the Union," Commerce Secretary Gina Raimondo said the White House is considering tariff cuts: "The president has asked us on his team to analyze (the potential for tariff reductions) and so we're in the process of doing that for him and he will have to make that decision. I will say it depends on what we're talking about—on what kinds of products. So, for example, steel and aluminum—we’ve decided to keep some of those tariffs because we need to protect American workers and we need to protect our steel industry; it’s a matter of national security. There are other products—household goods, bicycles—it may make sense and I know the president is looking at that.” Somebody should tell Raimondo that tariffs on steel and aluminum may narrowly benefit domestic producers and their employers, but at a cost that reverberates throughout the economy—to include hurting domestic manufacturers of products that use steel and aluminum, along with their employees and their customers. Tapper laudably ridiculed the Biden administration's past assurances that rising price inflation wasn't something Americans should be worried about—including assurances from Raimondo herself.

After noting Treasury secretary Janet Yellen's recent admission that she'd misjudged inflation, Tapper said, "You told Bloomberg that inflation would be temporary about a year ago. As recently as six months ago, you were calling inflation 'a short-term problem, not a long-term problem,' so you got it wrong too."

CNN'S JAKE TAPPER: "As recently as six months ago, you were calling inflation 'a short-term problem, not a long-term problem.'"

COMMERCE SECRETARY GINA RAIMONDO: "I still think we will get inflation under control, we just have to stick with it." pic.twitter.com/ftec6ui6Gv

While the White House ponders tariff reductions on various consumer items, Reuters reports that trade relief is coming more quickly for an industry aligned with Democrats' green energy agenda.

On Monday, Biden will use executive action to force a pause in the collection of duties on solar panels imported from four Southeast Asian countries. The executive action relates to a Commerce department investigation that—by threatening to impose retroactive tariffs of up to 250% on imports from Cambodia, Malaysia, Thailand and Vietnam—has nearly halted solar panel imports from those countries altogether. Of course, solar panels aren't exactly top-of-mind for Americans hammered by soaring prices for food, gas and other basic needs.

Meanwhile, for champions of free markets, Biden's pending moves are a mixed bag at best—particularly as it relates to Biden's solar panel push. According to Reuters: Biden also will invoke the Defense Production Act to drive U.S. manufacturing of solar panels and other clean technologies in the future, with the support of loans and grants.

The Defense Production Act is a Korean War-era measure that empowers presidents to command private businesses to produce goods and services in support of national defense. It's meant to be an emergency power, but—as we've seen time and again—tyrants and their lawyers are adept at opportunistically contriving "emergencies" out of thin air.

JetBlue sweetens offer in buyout race for Spirit Airlines

JetBlue Airways Corp on Monday improved its offer for smaller rival Spirit Airlines Inc in an attempt to outstrip competition in the race to buy the low-cost carrier. Shares of Spirit rose 1.6% in early trading.

Under JetBlue's revised terms, Spirit shareholders would receive $31.50 per share in cash, comprising $30 at deal close and prepayment of $1.50 from a raised reverse break-up fee soon after Spirit shareholders vote to approve a deal. JetBluelast month offered $30 in a hostile takeover bid for Spirit after initially offering $33 per share.

The move comes days ahead of a Friday shareholder vote on a competing offer from Frontier Group Holdings Inc. JetBlue Chief Executive Robin Hayes told CNBC that the airline had made "unprecedented divestiture commitments" to win regulatory approval. "We know what it takes to get this deal done," Hayes said. "We need the Spirit board to seriously consider our offer." In the latest revised offer, JetBlue did not offer to unwind its "Northeast Alliance" (NEA) partnership with American Airlines (AAL.O) - a key sticking point in its deal talks with Spirit, which has been reluctant to consider any offer from JetBlue due to antitrust concerns.

The NEA is already in the crosshairs of the Justice Department, which sued JetBlue in September to unwind the partnership.

The latest offer from JetBlue, however, might put pressure on Spirit's board to consider a deal with them, especially if shareholder advisory firms Institutional Shareholders Services and Glass Lewis choose to side with the latest JetBlue offer, experts said.

It remains to be seen whether Spirit finally decides to engage with JetBlue. Spirit is still committed to its deal with Frontier, the sources said, but may be forced to switch sides if they face mounting pressure from large institutional shareholders. Spirit had rejected JetBlue's offer last month saying it had a low likelihood of winning approval from government regulators

US, South Korea Fire 8 Ballistic Missiles In Rare Mirror Response To North

The frequency and pace of North Korea's ballistic missile launches have grown this year, almost to the point of now becoming 'routine' amid the usual accompanying threats from Kim Jong Un; however, what's not common is for US and South Korea to 'answer' in as alarming a fashion - but that's precisely what happened in response to the latest salvo from Pyongyang...

"The U.S. and South Korean militaries launched eight ballistic missiles into the sea Monday in a show of force matching a North Korean missile display a day earlier that extended a provocative streak in weapons demonstrations," The Associated Press reports.

@USForcesKorea & Republic of Korea militaries conducted a combined live-fire exercise this morning.

This exercise used 1 @USArmy missile and 7 @ROK_Army missiles.

Details --https://t.c/UUe45BCl4z@ROK_MND | @INDOPACOM | @UN_Command | #탄도미사일 pic.twitter.com/4wGnrTjOBu — U.S. Forces Korea (@USForcesKorea) June 6, 2022

North Korea on Sunday had fired eight short-range missiles, marking what international reports said is a single-day record for most ballistic missile launches from the north. The series of launches came over 35 minutes from at least four separate locations, including both coasts and from north of the capital, among inland areas.

In responding quickly with its own corresponding Monday launches, the South Korean military described that "The tit-for-tat missile launches were aimed at demonstrating the ability to respond swiftly and accurately to North Korean attacks." According to details in the AP, "The allies’ live-fire exercise involved eight Army Tactical Missile System missiles — one American and seven South Korean — that were fired into South Korea’s eastern waters across 10 minutes following notifications for air and maritime safety, according to South Korea’s Joint Chiefs of Staff and U.S. Forces Korea."

South Korean President Yoon Suk-yeol affirmed that Seoul would remain firm in its response to its northern neighbor and rival. "We will make sure there isn't a single crack in protecting the lives and property of our people," he said. Some pundits were quick to question whether this will have any deterrent effect whatsoever: unlikely, they said.

Not sure what this accomplishes. I seriously doubt it demonstrates some new capability. It certainly isn’t going to deter future North Korean tests/launches. https://t.co/qNsbLSfj4e

— Eric Brewer (@BrewerEricM) June 5, 2022

He said that Pyongyang's latest signs of a ratcheting nuclear and ballistic missile program "are reaching the level of threatening not only peace on the Korean Peninsula but also in Northeast Asia and the world," Yonhap reported.

In the south's fresh muscle-flexing aimed at Pyongyang with the help of the US military, it launched seven surface-to-surface Army Tactical Missile Systems (ATACMS). An additional eighth was launched directly from the US side of the drills. South Korea and US joint drills, which come routinely, have consistently angered the north, resulting and frequent threats and denunciations. With this latest missile launch 'response' to the north, however, the north could choose to escalate further by ramping up more and more frequent tests.
