Before he left Lutonix, Barry downloaded "numerous trade secret files" to his Lutonix computer, transferred them to a USB drive, and then to a personal portable hard drive. In 2011, a U.S. District Court in California handed down a decision in Santa Clara Valley Housing Group, Inc. v. United States that, according to the law firm Faegre Baker Daniels, muddied the water for S corporation warrants. The case dealt mostly with warrants that were part of an S corporation tax shelter scheme. The court ruled that the warrants created a class of stock beneficial to the original shareholders and terminated the corporation's S election. The law firm concludes that the case should create a “heightened level of diligence” about S corporation warrants.

Gaidoo joined Cummins in 2011 and has held several roles in addition to his position as an employment lawyer. Gaidoo has served as the global lead lawyer for the company’s Crisis Action Management Program, the company’s Assistant Corporate Secretary, and the Executive Director of Human Resources for the Cummins Emissions Solutions (CES) business. Gaidoo is a veteran of the United States Marine Corps.
