JPMorgan Sues Tesla For $162 Million, Accusing Elon Musk Of "Flagrantly" Defaulting On Warrant Payments

Late on Monday, JPMorgan sued Tesla for $162.2 million, accusing Elon Musk's electric car company of "flagrantly" breaching a contract related to stock warrants after its share price soared. According to the complaint filed in Manhattan federal court and first reported by Reuters, Tesla in 2014 sold warrants to JPMorgan that would pay off if their "strike price" were below Tesla's share price upon the warrants' expiration in June and July 2021.

JPMorgan, which said it had authority to adjust the strike price, said it substantially reduced the strike price after Musk's Aug. 7, 2018 tweet that he might take Tesla private at $420 per share and had "funding secured," and reversed some of the reduction when Musk abandoned the idea 17 days later.

In either case, Tesla's share price rose approximately 10-fold by the time the warrants expired, and JPMorgan said this required Tesla under its contract to deliver shares of its stock or cash. The bank said Tesla's failure to do that amounted to a default.

"Though JPMorgan's adjustments were appropriate and contractually required," the complaint said, "Tesla has flagrantly ignored its clear contractual obligation to pay JPMorgan in full."

According to the complaint, Tesla sold the warrants to reduce potential stock dilution from a separate convertible bond sale and to lower its federal income taxes (we are confident Bernie Sanders will have something to say about this). JPMorgan said it had been contractually entitled to adjust the warrants' terms following "significant corporate transactions involving Tesla."

The automaker in February 2019 complained that the bank's adjustments were "an opportunistic attempt to take advantage of changes in volatility in Tesla's stock," but did not challenge the underlying calculations, JPMorgan said. Musk's August 2018 tweets led to U.S. Securities and Exchange Commission civil charges and $20 million fines against both him and Tesla.

Meanwhile, TSLA stock continued to slide on Monday, briefly entering a bear market before shooting higher as a result of what we said was a perfectly unmanipulated move in response to Musk selling billions more in TSLA stock.

Pay your debt, Iran tells Britain

The Iranian Foreign Ministry has called on London to repay its debt to Iran, noting that the UK can no longer present false pretenses for delaying the payment which relates to the purchase of British tanks in the 1970s.

In a press briefing on Monday, Foreign Ministry Spokesman Saeed Khatibzadeh told reporters that Tehran had once again pushed the UK to hand over the £400 million it owes to Iran.

Khatibzadeh said that Iranian Deputy Foreign Minister Ali Bagheri Kani had breached the topic on a visit to London in which bilateral issues were discussed. The minister had reminded London that they could no longer put off the debt repayment under any pretexts, according to Khatibzadeh.

Iranian Foreign Minister Hossein Amir Abdollahian also spoke with his British counterpart, Liz Truss last Monday, Khatibzadeh stated, requesting urgent repayment of the debt.

Britain owes around £400 million to Iran relating to the 1971 purchase of 1,500 Chieftain tanks and armored vehicles by the government of Mohammad Reza Pahlavi, the pro-Western shah who ruled the country until the 1979 revolution.

The UK’s state-owned International Military Services delivered 185 tanks before the revolution, but the agreement was revoked following the seizing of the United States Embassy and the hostage crisis which engendered decades of hostility.

While some UK politicians have called for the money to be repaid to Iran, others have said it cannot be used as leverage by Iran for the release of British prisoners held captive by Tehran. Iran suggested Nazanin Zaghari-Ratcliffe, along with other dual nationals, may be released if the UK pays up.

US-based firm offers trans employees pay for sex change & new clothes

American software company Salesforce has introduced a $40,000 financial package for its transgender employees around the world, including money for sex change operations and hundreds of dollars for new clothes.

Salesforce will provide its package for employees globally after previously launching it in the United States and Canada. Transgender staff will be able to take four weeks of paid leave and receive $40,000 to pay for sex change surgery, hair transplants, hormone replacement, and legal fees, and will even receive a budget of up to $500 for new clothes “to help them look and feel their best” – one of the newest additions to Salesforce’s package.

“At Salesforce, we believe everyone deserves to be who they are — and that doing so makes each of us the happiest and healthiest version of ourselves,” said the company in a statement, calling its financial package “an important step on that journey.”

Manu Erwin, a “trans-femme non-binary” engineer for Salesforce in New Zealand, called the package “life changing” for transgender employees, noting that sex change surgery typically costs tens of thousands of dollars alone.

“The biggest benefit is the fact that it exists at all,” Erwin said.

Pip Marlow, the CEO for Salesforce Australia and New Zealand, said she was “proud” of the company for expanding its transgender assistance package.

“If you don’t put real money and investment behind your values, you’re not really living them,” argued Marlow, who describes herself as a “feminist” and “LGBTI ally.”

Marlow added that the Covid-19 pandemic should inspire businesses to “take better care of our employees.”

How Saudi State Media Feeds Fake News to Israeli, Western Audiences

Unsubstantiated Saudi state media claims are very specifically designed to inflame tensions and to make the supporters of Hamas, Iran and Syria doubt their leaders and what may be going on behind the scenes.

RIYADH, SAUDI ARABIA — Saudi state media outlets have been found to repeatedly report information, lacking sources or supporting evidence, in order to attack their political opposition in the Middle East. This can range from stories about deserters from Hamas to the utterly absurd fictions regarding alleged assassinations of high-ranking Iranian officials, which, taken together, constitute a pro-Israel, pro-Washington psyop.

This Wednesday, Saudi state broadcaster Al-Hadath claimed that an Iranian ‘Islamic Revolutionary Guard Corps’ (IRGC) Commander named Seyyed Mustafa Javad Ghaffari had been kicked out of Syria by the country’s president, Bashar al-Assad, sparking speculation over a possible breakdown in relations between Tehran and Damascus. For Israeli and U.S. media, which have now taken the report at face value, it is an intriguing story. And it would be an interesting development, except for one small detail: there is not a shred of evidence to support the claims.

According to the original report on Al-Hadath, Commander Ghaffari had set up a “black market” by bypassing customs and smuggling goods into Syria; additionally, Ghaffari had allegedly admitted to storing weapons in prohibited areas inside of Syria. Later reports in Israeli media, quoted Saudi media as claiming that Assad had accused Ghaffari of violating Syrian sovereignty and hence had expelled him. In addition to this, the unnamed Saudi media source seemed to work off of the assumption that the Iranian commander was behind an attack on U.S. forces and their allies on October 20 at their al-Tanf base in Syria. According to Al-Hadath, Syria was unhappy specifically with the IRGC commander’s conspiring against the Israelis and U.S. forces that occupy their territory, owing to fears of being dragged into a regional war.

Not surprisingly, Saudi Arabia’s broadcaster used biased language, in what should have been a professional report, demonstrating instantly that the outlet, Al-Hadath, was coming at the report from the state’s propagandistic perspective. On its website, its report concludes:

The source viewed the exclusion of Mustafa Ghaffari, who is following in the footsteps of Qassem Soleimani by establishing the Syrian Hezbollah militia, as a blow to Soleimani’s vision and dream of establishing a land bridge between Iran and Lebanon.

So who is this source? We don’t have a name or even a title. All we know is that Al-Hadath calls them someone that is familiar with the Syrian senior leadership. Lacking any further information, it is reasonable to ask the following questions: How does an enemy state to both Syria and Iran manage to acquire such information first? If this source exists, they clearly chose an enemy state to leak this information to, so why not an American or Israeli media outlet with more credibility? And finally, is there really any such source?

I spoke to Seyyed Mohammed Marandi, Professor of English Literature and Orientalism at the University of Tehran, who says that the claims are “utter nonsense.” “All Iranian commanders are rotated, Hajj Javad isn’t the first,” Marandi explained. He also went on to say that “actually, the Iranian change in command happened weeks ago; if they [Saudi media] know so much why didn’t they say anything when it happened?”

Even if some militants from Gaza had fired rockets into the confiscated territory of Israel there is no way that these counter strikes were proportional in response to shoulder fired rockets. Israel was literally exterminating whole city blocks of people. The estimate minimum death toll was 2,000 civilians. The majority of the MSM was notably absent at this time. A current 2017 You Tube search shows very little MSM participation in reporting about what happened in Gaza in July 2014. Strangely enough, due to the fact they are often reporting fake news themselves, it was only CNN that provided video reports on the massive bombings of Gaza by the Israeli air force.

How COVID Lockdowns Handed Global Warming Extremists The Tools To Crush Freedom

We’ve rolled out the blueprint for a society that is nominally free, but willing to throw freedom away in a crisis.

The Glasgow Climate Conference wrapped Friday with so much progress: There was a “joint pledge” by President Joe Biden and an indifferent Chinese dictator to slow down the changing climate sometime in the next decade or so; there was a call from British Prime Minister Boris Johnson to “get on and do it,” whatever that means; there was even a column from The New York Times’ Tom Friedman on how, after seeing all the protests and listening to all the leaders, he’s feeling “very energized, and very afraid.”

It was great. Refreshing, really. I loved it.

Why? Because it felt like a return to normalcy: A few thousand completely clueless, feckless old men flying from all over the planet to babble on about saving the world and maybe even catch a quick nap during the most boring of the mostly boring speeches.

There was excitement, too! They pulled out all the stops: Creepy 20-foot puppet shows, sobbing children completely convinced they’re going to die unless every adult on the planet stops what they’re doing and listens to their teenaged opinions, drum circles, even Peruvian flutes. It felt vintage; as if from a simpler time.

But there’s a major problem: While it might have felt like a return to normalcy, it wasn’t. We’re not going back to normal — at least not without a hard and vicious fight.

Why not? Because the past two years have witnessed the very things that kept those stupid marches largely confined to just stupid marches: our society’s apparent decision to sacrifice liberty on the altar of fear and the triumph of timid technocrats over bold citizenry. This had been building behind the scenes, mind you, but with the excuse of COVID was it ready to be revealed.

Back in 2019, before the global shutdowns, there was a lot of internal debate within conservatism about which direction our society ought to go. Should we stick with our collective devotion to libertine individualism and cheap goods, as lawyers like David French preferred? Or should we move past the modern liberal consensus, and turn to a more involved government that tries to actively reorder society toward the higher good, as Sohrab Ahmari, Tucker Carlson, and a few of us here at The Federalist proposed?

Sohrab, Tucker, and the rest of us were viciously attacked for our heresy against the modern liberal order. How dare we stir up trouble and inflame feelings? We were ruining the club vibe, splintering party unity. We can’t help people global markets have forgotten. And God? He’s just a private venture.

While we had this debate, however, global events — and the left — overtook us. Mary Harrington, an editor of the British magazine UnHerd, puts it this way: “The pandemic state of emergency [shattered] the consensus about individual freedom. Across the developed world, the liberal privileging of individual freedom has been replaced by a de facto acceptance that state power absolutely must be ordered to the common good, up to and including coercive measures where necessary.”

“In other words,” she writes, “all politics is now post-liberal.”

Then I googled Mike and it don't look the same to me.
