PALM BEACH, Fla., Dec. 04, 2021 (GLOBE NEWSWIRE) – Trump Media & Technology Group Corp. ("TMTG") and Digital World Acquisition Corp. (Nasdaq: DWAC), today announced that Digital World Acquisition Corp. ("DWAC") has entered into subscription agreements for $1 billion in committed capital to be received upon consummation of their business combination (the "PIPE") from a diverse group of institutional investors.

 

President Donald J. Trump, Chairman of TMTG, stated, "$1 billion sends an important message to Big Tech that censorship and political discrimination must end. America is ready for TRUTH Social, a platform that will not discriminate on the basis of political ideology. As our balance sheet expands, TMTG will be in a stronger position to fight back against the tyranny of Big Tech."

 

Patrick Orlando, Chairman and CEO of Digital World Acquisition Corp., commented, "Our focus on delivering public shareholder value drives our decision-making and by accepting these commitments for a strategic infusion of growth capital, we believe the combined company can grow on an incredibly strong foundation. The liquidity that will be provided to the combined company balance sheet, in excess of the up to $293 million (less expenses) that DWAC may provide, should fortify the strategic positioning of TMTG. I am confident that TMTG can effectively deploy this capital to accelerate and strengthen the execution of its business, including by continuing to attract top talent, hire top technology providers, and roll out significant advertising and business development campaigns."

 

Together, the transaction will provide estimated proceeds of approximately $1.25 billion (after deducting estimated deal expenses), assuming full delivery of the amount of cash held in trust by DWAC, to be used to fund operations of the combined entity. The per-share conversion price of the fully committed convertible preferred stock PIPE transaction represents a 20% discount to DWAC's volume-weighted average closing price ("VWAP") for the five trading days prior to and including December 1, 2021, subject to downward adjustment. If the VWAP of the combined entity for the 10 trading days after the closing of the business combination ("Closing VWAP") is at or above $56, no downward adjustment will occur. If the Closing VWAP is below $56, then the conversion price shall be adjusted to the greater of a 40% discount to the Closing VWAP and the floor price of $10.00. The PIPE financing is subject to customary closing conditions, including stockholder and regulatory approval, and is expected to close upon or shortly after the consummation of the business combination.

A. They might try it, that’s for sure. Though it will take its time. However, this could prove a bit harder if you host your own DNS in your own server. I’m prepping a way on how to do that.

 

Additionally, there’s the new Name Server resolution, which is called ENS (Etherium Name Server), which is under the blockchain. That can not be deplatformed, no matter what. The newer extensions, like .xyz, .pro, etc are compatible with it.

Australia: The Horrifying Dystopia, The Down Under Landscape Turned Full Blown Tyranny

 

You may have noticed we’ve been talking a lot about Australia the last couple weeks. We’re doing that for a reason. Because as bad as things have been in America, Australia shows how things can still get worse, and the direction we could be headed.

 

Two years ago, Australia wasn’t some dictatorship like China. It was a democracy with regular elections that were fairer than ours. Australia isn’t an alien culture like South Korea. It speaks English. It’s a former British colony with English-derived laws. ‘

 

Australia was, until Covid, a relatively free country. But now, it’s a horrifying dystopia. It’s a hellscape where police will inspect your Starbucks cup to make sure it has coffee in it. It’s a country where you can be fined thousands of dollars for violating the ever-changing health rules.

 

How did this happen to Australia? It’s a country whose heritage is a lot like America. Its early settlers were pioneers who had to fend for themselves and carve out a living in a hostile country. This is a country with nine of the world’s ten deadliest snakes, plus the world’s most poisonous spiders and some of its most dangerous plants.

 

It’s a hard country, but now it has been forced to submit. Why? Well for one, the public has been substantially disarmed. After a mass shooting in Port Arthur, Tasmania, the government implemented one of the most aggressive gun grabs in human history. In just a few years, the government seized and destroyed more than a million guns, about one-third of all guns in the country. Now, to own a gun in Australia, you need a license, and to get that license you need to convince the government you have a valid reason to have it. And no, “self-defense” isn’t considered a valid reason. Nor is “I’m worried my government might be taken over by totalitarian psychopaths.”

 

So in short, Australians are no longer citizens. They are subjects. They don’t get their rights from almighty God. They get them from an almighty government, which can strip them away whenever it feels like it.

 

A month ago, we spoke with Graham Hood, the Australian pilot who became a viral hero after he turned in his wings rather than submit to a vax mandate. Well, he’s still a hero and he’s leading the battle to salvage whatever freedom his can in his country.

There is growing concern over the misuse of information and communications technologies (ICT) by terrorists, in particular the Internet and new digital technologies, to commit, incite, recruit for, fund or plan terrorist acts. Member States have stressed the importance of multi-stakeholder cooperation in tackling this threat, including among Member States, international, regional and sub regional organizations, the private sector and civil society.

 

In resolution 2341 (2017), the Security Council calls upon Member States “to establish or strengthen national, regional and international partnerships with stakeholders, both public and private, as appropriate, to share information and experience in order to prevent, protect, mitigate, investigate, respond to and recover from damage from terrorist attacks on critical infrastructure facilities, including through joint training, and use or establishment of relevant communication or emergency warning networks.”

 

Counter-terrorism Cybersecurity initiatives

The UN Office of Counter-Terrorism (UNOCT) has several initiatives in the field of new technologies, including a project on the use of social media to gather open source information and digital evidence to counter terrorism and violent extremism while respecting human rights. It has provided expertise in international fora on the use of unmanned aerial systems (UAS) and will develop further programming in this area.

 

In particular, the Cybersecurity and New Technologies programme aims to enhance capacities of Member States and private organizations in preventing cyber-attacks carried out by terrorist actors against critical infrastructure. The project programme also seeks to mitigate the impact and recover and restore the targeted systems should such cyber-attacks occur.
