SoftBank's Deal To Sell Arm To Nvidia In "Biggest Semiconductor Deal Ever" Killed By Regulators

Here's some more bad news for SoftBank: it's planned deal to sell its Arm subsidiary to Nvidia - once billed as "the biggest semiconductor deal ever" - is falling apart as the two companies have failed to win approval from global regulators.

While much has changed since the deal was struck in September 2020 (for one, a global supply crunch has restricted access to semiconductors, forcing governments to gather their 'strategic assets' closely like a squirrel with its nuts), one important fact hasn't: Following the bloodbath in US-traded tech stocks, SoftBank could really use the cash proceeds from the Arm deal to cover its other losses.

It's also a blow to the many bankers working on a deal that was valued at $40 billion back in September 2020.

According to Bloomberg, news about the deal's demise came out of the Nvidia camp; apparently, the company has been telling its own high-ranking employees that it doesn't expect the deal to be consummated. As a result, SoftBank is stepping up its efforts to take Arm public.

The British microprocessor powerhouse would probably be too large for a SPAC to swallow, as the value of the deal would eclipse even that of Grab's SPAC-aided market debut.

Surprisingly, it's not the Brits who are making the biggest stink about the deal: the FTC sued to stop the deal back in December, arguing that Santa Clara, Calif.-based Nvidia would become "too powerful" if it gained control of Arm’s technology. BBG added that Chinese regulators have also pledged to stop the deal if the approval process ever should make it that far, according to one BBG source.

Interestingly, Nvidia's rivals have also rallied against the deal. Qualcomm, Alphabet, Apple, Microsoft (which has decided to follow in Apple's footsteps by seeking to build more of its own chips). Though it's not hard to see why.

If the deal were to close, it would catapult the valuation of US-based Nvidia past that of Taiwan-based TSMC, according to Bloomberg.

With the control of Arm's assets, Nvidia would become the world's most valuable chipmaker.

StL Circuit Attorney Kim Gardner Loses Appeal After Hiding Communications with Soros Operatives, Political Insiders in Plot to Take Down Missouri Governor Greitens

A Missouri Appeals Court upheld a previous judge’s ruling on Tuesday against Soros-funded St. Louis Circuit Attorney Kim Gardner.

The unanimously ruled Kim Gardner failed to file a timely response to reporter John Solomon from Just the News for information on her communications with political insiders and Soros operatives.

Kim Gardner already faces a misconduct probe for illicit conduct in her plot to take down popular Missouri Governor Eric Greitens.

A court last year found that Kim Gardner engaged in 62 acts of misconduct and 79 false representations in her prosecution of Eric Greitens.

The St. Louis Post-Dispatch reported:

The Missouri Court of Appeals at St. Louis on Tuesday upheld a judge’s ruling against the St. Louis Circuit Attorney’s Office for failing to respond to a lawsuit that alleged violations of the state’s open records law.

The appeals court’s unanimous ruling said Circuit Attorney Kimberly M. Gardner’s appeals had “no merit.” She had challenged St. Louis Circuit Judge Christopher McGraugh’s ruling and $5,000 penalty for refusing to produce records and respond in time to a January 2020 lawsuit filed by conservative journalist John Solomon.

“Based on this whole record, we hold the trial court did not err in finding (Gardner’s) failure to file a timely response to (Solomon’s) amended petition was not the result of an unexpected or unavoidable hindrance, accident, or mishap, but was instead the result of (Gardner’s) carelessness, inattention, and deliberate disregard,” the court said.

Solomon, a former Fox News contributor who runs the website Just the News, sought all of Gardner’s contacts with staff and other key players in the 2018 criminal investigations of then-Gov. Eric Greitens.

Those people include Missouri Times publisher Scott Faughn, Clayton lawyer Albert Watkins, billionaire mega-donor George Soros and former state Reps. Stacey Newman and Jay Barnes.

Alec Baldwin Seeks Dismissal of Civil Suit Over Fatal ‘Rust’ Shooting

LOS ANGELES—Attorneys for Alec Baldwin and other producers of the movie “Rust” are asking a court to dismiss a civil lawsuit filed by a script supervisor who was on the set when the actor fatally shot a cinematographer.

In a filing in Los Angeles Superior Court on Monday, the attorneys said the claim by Mamie Mitchell should be thrown out because there was no evidence that Baldwin or any of the producers intended harm. Baldwin was the lead actor and a producer of the independent film, a Western.

“Despite Plaintiff’s attempt to label claims as intentional, nothing about Plaintiff’s allegations suggest that any of Defendants intentionally committed harmful conduct,” the filing said.

Mitchell claimed in a lawsuit filed in November that Baldwin should have checked the Colt .45 revolver he was holding to make sure it did not include live ammunition. Baldwin has said the assistant director told him the gun was “cold,” or safe to use and that he did not pull the trigger. Mitchell, who said she was in the line of fire, alleges assault, intentional infliction of emotional distress, and deliberate infliction of harm and is seeking unspecified damages in the lawsuit filed in Los Angeles Superior Court.

Cinematographer Halyna Hutchins was killed and director Joel Souza was wounded when the gun discharged as Baldwin was rehearsing on the New Mexico film set.

Mitchell, who said she was in the line of fire, alleges assault, intentional infliction of emotional distress, and deliberate infliction of harm, and is seeking unspecified damages in the lawsuit filed in Los Angeles Superior Court.

Gloria Allred, Mitchell’s attorney, said on Tuesday that the claim should be allowed to proceed.

The producers are “trying to avoid explaining their conduct before a judge and a jury in a court of law,” she said in a statement.

Pfizer Begins Human Trials For New Omicron Vaccine As US Cases Tumble

Pfizer and its partner BioNTech just launched the first human trials of their revised COVID vaccine which has been adapted to try and provide better protection against the omicron variant. Shortly after the emergence of omicron in late November, Pfizer and its rivals all promised to produce another generation of vaccines, claiming they could have them ready within three months.

So far at least, that timeline appears mostly on track. However, an even more important question for Pfizer might be this: who will even need these jabs when they're ready, since it looks like the omicron wave numbers will have finally tapered off by the time the trials are completed.

At any rate, the two firms said Tuesday they had begun enrolling adults ages 18 to 55 for trials taking place in the US and South Africa. The trials will seek to examine the safety, tolerability and, most importantly, the immune response generated by the new vaccines, per WSJ. The big question will be whether they do what their makers have created them to do, or not.

At least one human subject has already received a shot of the new vaccine, Pfizer said Tuesday. Initial trial results are expected some time during the "first half of the year". But Pfizer CEO Albert Bourla has said that the company could receive approval for the jab from federal regulators as early as March.

Dr. Fauci still believes it's "entirely conceivable" that a fourth booster will be needed, as we reported the other day. And speaking on MSNBC earlier, the good doctor warned that it would be "prudent" to prepare for the likelihood that omicron will persist at pandemic levels for some time. He even stressed that an omicron-focused vaccine would help humanity prepare for the eventuality that the omicron-driven wave persists.

Fauci Defends FDA for Rescinding Authorization of Monoclonal Antibodies — ‘Risk of a Potential Adverse Effect with Essentially No Benefit’

National Institute of Allergy and Infectious Diseases director Dr. Anthony Fauci on Tuesday defended the Food and Drug Administration’s decision to rescind emergency-use authorizations for two monoclonal treatments used for the coronavirus.

Fauci said on MSNBC’s “José Díaz-Balart Reports” that there is a “risk of a potential adverse effect with essentially no benefit” because the antibodies “don’t work” on the Omicron variant.

“[I]f you look in the United States, about 99% of the isolates are Omicron. So, it would be extremely unusual for someone to still have a lingering Delta infection right now,” Fauci outlined. “I think a month or two ago, that was different — when Omicron was replacing Delta. But now, if you look at the isolates throughout the country, they’re very, very high. I mean, literally close to 100% of the isolates now are Omicron. And that’s the reason that the FDA made that decision since these two monoclonal antibodies don’t work against Omicron, that it would not be a good idea to administer to anyone, because all you will have is the risk of a potential adverse effect with essentially no benefit from the actual therapeutic effect.”

He added, “There is a monoclonal antibody, sarilumab, that actually does work against the Omicron, and that’s a monoclonal antibody made by GSK.”

White appeared on the Jan. 20 episode of the Full Send podcast, and about 43 minutes into the show, the hosts brought up Joe Rogan.

White scoffed at the recent letter reportedly written by “270 doctors” that demanded that Spotify remove Rogan’s podcast from its service over the coronavirus “misinformation” Rogan had aired. White noted that many of these “doctors” who signed the letter aren’t actually doctors.

“Well, I know they had come out and said it was 200, 250 doctors or whatever. I guess when they started researching these people, they weren’t really doctors,” White said.

Indeed, a look into the letter’s signers revealed that only about 100 of them are actual MDs, and most of them are researchers, not practicing doctors. The rest are teachers, nurses, and other people in the medical field who don’t have the qualifications to practice medicine.

White went on to add that Rogan is a “brilliant” guy who does his “homework” and won’t be canceled.

“You’re not canceling Rogan. And the thing is with Rogan, he’s a brilliant guy, he does his homework, and he knows what he’s talking about,” White added. “And guess what? This is fuckin’ America, and you can have your own opinion about these things, and you can voice ’em. That’s what this fuckin’ country was built on. USAID supports Lao Media in Enhancing Role to Counter Trafficking in Persons

With support from the United States through the U.S. Agency for International Development (USAID), the Department of Media, the Ministry of Information, Culture, and Tourism (MICT), and Winrock International conducted a workshop on countering trafficking in persons for media, culture, and tourism stakeholders. The workshop aimed to help media representatives understand their role in countering trafficking in persons and provide them with tools to do so.

The workshop was opened by Vice Minister of Information, Culture, and Tourism Mr. Phosy Keomanyvong, followed by remarks by USAID Country Representative to Lao PDR Mr. Michael Ronning. Fifty representatives from the MICT, social media influencers, and key media stakeholders (government and independent) attended the workshop.

“The media plays a crucial role in reaching out to vulnerable populations and delivering the right message on prevention of trafficking and protection of the victims,” said Mr. Ronning. “The United States is committed to supporting the Government of Lao PDR to counter trafficking in persons. Given the recent 5th anniversary of the U.S.-Lao Comprehensive Partnership, the U.S. Government will continue to further strengthen our cooperation and support the Lao PDR to achieve its goals to counter trafficking in persons.”

US Virgin Island Handles More Sex Trafficking Cases Per Capita Than Any U.S. State

The 2020 Federal Human Trafficking Report revealed that Virgin Islands federal courts handled the highest number of sex trafficking cases than any other state in the United States on a per capita basis. V.I. Attorney General Denise George announced a collaboration with the national child protection think tank called CHILD USA, local and federal law enforcement agencies, as well as victim services organizations in the Virgin Islands to spearhead programs to combat human trafficking crimes that have plagued the V.I. for years.

This month, which has been proclaimed by President Biden as National Human Trafficking Prevention Month, is dedicated to deepening public understanding of human trafficking as well as an opportunity to denounce the individuals, institutions, and systems that enable and perpetuate human trafficking.

Human trafficking is also called modern-day slavery and involves the use of force, fraud or coercion to obtain some type of forced labor or commercial sex activity. The crime includes the use of coercion or deception to compel an adult to engage in prostitution or forced labor activity or to make a child or person under 18 available for the purpose of engaging the minor in commercial sexual activities or sexual servitude.

Traffickers use many means to gain control over victims, including grooming, threats of violence, threats of deportation, false promises of legitimate jobs, careers or training, manipulation and even seduction into romantic relationships that turn into coerced sexual activity or prostitution.

Although most human trafficking victims are women, girls and sometimes undocumented immigrants, it can and does happen to anyone regardless of gender or nationality. It is a highly profitable crime run by criminal enterprises or individuals. The crime often occurs hidden under the guise of a legitimate business or personal activity such as, in hotels, guest houses, restaurants, gas stations, streets, homes, strip clubs, private islands or residences.

According to the 2020 Federal Human Trafficking Report from the Human Trafficking Institute, in 2020, the V.I. federal courts handled the highest number of sex trafficking cases than any other state in the United States on a per capita basis when taking population into account.

Nearly 20 arrested over human trafficking

The police conducted nine operations between Jan. 17 and Jan. 23, targeting suspected human traffickers and detained 19 people among them three Afghan and three Iran nationals.

Suspects were referred to a local which ruled for the arrests of 17 of them. The suspects were also fined nearly 422,000 Turkish Liras (around $31,000).

The police also seized three vehicles belonging to the suspects.

In the month of January, around 8,700 irregular migrants have been captured in Turkey, according to data from the Presidency of Migration Management.

In the whole of 2021, security forces apprehended 163,000 irregular migrants, rising from 122,000 people captured in the previous year. In 2019, a record number of 455,000 migrants were captured in Turkey.

Recently, Interior Minister Süleyman Soylu said that 5.3 million foreign nationals, including 4 million refugees, most of them from Syria, currently live in Turkey.

4 members of a gang involved in child trafficking arrested

New Delhi: Police have busted a gang involved in child trafficking in the national capital. At the same time, the police laid a trap and arrested the four accused. The police official said the gang was involved in trafficking of several children. He said the gang members used to buy children from economically backward families and sell them to the childless couple for a hefty sum of money. On investigation by the police, pictures of minor children have been recovered from the mobile phone of the accused.

DCP North Sagar Singh Kalsi told the media that they had received secret information that a gang member was coming to sell a child. He said that after this, the police laid a trap and raided and arrested four people from the spot. A seven-eight-month-old baby has also been recovered from the accused. Last month, the Crime Branch of The Delhi Police had busted an inter-state racket of allegedly kidnaping, trafficking and buying and adopting infants in exchange for money from biological parents or poor parents, while the gangster is still on the run.

At the same time, the police official said that the gang was involved in the trafficking of more than 50 children. He said that the gang members used to buy children from economically poor families and sell them to childless couples for a hefty sum of money.
