Jack Dorsey rips Twitter board

The platform’s co-founder has criticized the company’s ‘poison pill’ strategy to stave off a takeover by Elon Musk

Twitter co-founder and outgoing board member Jack Dorsey blasted the social media platform’s board of directors on Saturday over its tactics in trying to prevent a takeover by Elon Musk.

Dorsey – who stepped down as CEO in November and is due to leave the board next month – engaged in a dialogue with Twitter users who were commenting on a tweet by venture capitalist Garry Tan, who posted on the same day: “The wrong partner on your board can literally make a billion dollars in value evaporate.”

The tweet was referring to last week’s enactment by the Twitter board of directors of the ‘poison pill’ strategy, a plan to stave off a potential takeover by Elon Musk, Tesla’s CEO and the world’s richest man, according to Forbes. Musk offered to buy the company earlier in April. Tan went on to suggest that the wrong partner causes “a surprising percentage” of start-up failures.

A poison pill is a tactic used by companies to fend off a hostile takeover by diluting the stake of the entity attempting the takeover.

“Good boards don’t create good companies, but a bad board will kill a company every time,” one user said.

“Big facts,” Dorsey replied.

“If [sic] look into the history of [the] Twitter board, it’s intriguing as I was a witness on its early beginnings, mired in plots and coups, and particularly amongst Twitter’s founding members. I wish if [sic] it could be made into a Hollywood thriller one day,” another person tweeted, to which Dorsey said, “It’s consistently been the dysfunction of the company.”

“Are you allowed to say this?” another user asked.

“No,” Dorsey replied.

Dorsey served as CEO during Twitter’s first 18 months, after the company was founded in 2006, but, according toNick Bilton, a New York Times journalistand author of a book on the platform’s nascent years,

Dorsey was “kicked out because he had no idea how to run a company.” In his column in Vanity Fair in November,Bilton alleged that Dorsey was ousted as CEO this time as well.

(So the most honorable NYTs is going after Dorsey now that he exposed the corruption and ineptitude of the board. They be big afraid of Trump ever coming back. Kek)

Last week, the Twitter board “unanimously adopted” a limited duration shareholder rights plan (poison pill) “following an unsolicited, non-binding proposal to acquire Twitter,” a release said on Friday, a day after billionaire Elon Musk offered to buy the company for $43 billion.

It was revealed earlier this month that Musk already owns a more than 9% stake in Twitter. After this went public, Twitter CEO Parag Agrawal announced plans for Musk to join the board, but he declined the offer. If he had joined, he would not have been allowed to acquire more than 14.9% of beneficial ownership of the company’s outstanding common stock, CNBC says.

Twitter shares shot up by 15% after Musk’s stake in the social media platform was announced on April 4, but have since lost most of the gains after the company took a hostile stance to the potential takeover.

Disney faces 'overwhelming' backlash after 'their support for sexualizing kids in kindergarten': report

The insider told Bongino that Disney is tracking all of the "overwhelming" calls complaining about "their support for sexualizing kids in kindergarten."

A company insider says Walt Disney Company, one of the world's largest and most lucrative children's entertainment entities, has received a wave of backlash after its leadership has opposed Florida's anti-grooming legislation.

Dan Bongino, a political commentator and podcast host, said Thursday that a Disney insider had approached him with a peek into the negative feedback coming over the phones. Concerned callers wanted to let the company know that they weren't happy with the increasingly woke direction Disney has taken.

"The woman told me that the calls are overwhelming," Bongino said.

The company is tracking the consumer response to its opposition to the state's Parental Rights in Education bill, which bans kindergarten through third-grade classes from instructing young students on gender identity or sexual orientation.

According to the Disney insider, the feedback they've been hearing isn't supportive of the company's progressive stance.Bongino's source says that callers expressed alarm at "their support for sexualizing kids in kindergarten."

Disney has been using its cultural influences to rail against the the mislabeled "Don't Say Gay" bill recently passed in Florida, banning gender identity indoctrination in schools statewide. While the law's proponents say that the bill would help keep inappropriate topics out of the classroom, some activist employees and executives at Disney smear the legislation as anti-LGBTQ.

During a company meeting, a Disney executive producer revealed she's been implementing a "not-at-all secret gay agenda" into children's programming. The president of Disney's General Entertainment Content, who's a mother of two "queer children" including a transgender child and one "pansexual" child, said Disney should produce content that depicts more diverse and inclusive characters.

Trafalgar, a political polling service, says that when asked about the company's left-wing direction, many respondents expressed they don't agree with the trend. Many of those survey respondents say they would be less likely to do buisness with the company over concerns of sexualizing children's content.

In mid-March, multiple Disney employees were busted in a child trafficking sting just days after the corporation opposed Florida's anti-grooming law. Disney's ongoing pedophile employment problem has stretched back years.
