its no so sonister as you might suspect
every state has its own laws to set up and operate corporations
there is a large variation in rules governing board and shareholder procedures, accounting and reporting and many other mundane things
and of course then there is the issue of company residency = HQ and taxation at the state level
for many decades Delaware was the most corportate friendly set of rules and also tax free HQ - however most states have leveled the playing field and are now the same - except tax of course
also the issues have become less relevant as tax authorities have swept up all the transactions in every state regardless fo where HQ is - the only limit now being NO presence in the state at all then state cant collect sales tax - for now
but when you use platfosm like amazon which has a physical presence in most state and collects taxes in all 50 - vendors are at risk tho many still do not collect
i see penalties and taxes in their future….
