Why would Kellogg's sell their highly profitable cookie business to Italian company Ferraro for 1.1 Billion?

This includes Keebler, Mother's, Famous Amos and more.

That would really suck for Ferraro if it were to soon come out that nefarious ingredients were used by Kellog's in those products.
