NSA operated its most important front companies (RIM/BlackBerry, for communications devices secure enough for U.S. government use, and Certicom, to obtain patents on cryptographic systems they didn't want U.S. companies using without an NSA backdoor) out of Waterloo because Waterloo was in Canada.

 

NSA needed to conceal its connection to its Waterloo operations even from the rest of the U.S. government for multiple reasons. NSA was legally permitted to use all of their intelligence sources and methods to perform background checks on non-U.S. persons, without exposing their operations to the FISC or to the Clowns who perform background checks for U.S. security clearances.

 

Scott Vanstone was heavily involved in the NSA Waterloo fronts. Coincidentally he got sick and died a few months after @Snowden leaked information about the Dual_EC_DRBG backdoor.
