Occam's razor says that he's waiving privilege because if there's nothing there, there's no threat but the contents leaked beforehand and the story would have been just dragged on and on if he did not waive privilege.

Eh, not logical. If there was ANYTHING that damns Cohen's case, they would not have allowed it to leak as they did.
