Brandywine Building a step away from sheriff's sale

After a tumultuous 10 years for Wilmington’s commercial real estate market, the owner of a distinctive downtown high rise is in default on a once-$52 million loan.

The default sends the 18-story Brandywine Building and the adjacent 7-story Tatnall parking garage into a court-appointed receivership, the step before a sheriff sale, according to recent court documents.

"Defendants are in default…of their obligations under the loan documents for… failing to timely pay outstanding labor and material costs incurred in connection with the mortgaged property," stated a May lawsuit, which precipitated the default action last month.

The suit is over the $30 million principal left on the original loan, which was signed in 2002. Defendants are two Delaware entities – Brandywine Office Investment LLC and Tatnall Garage Investment LLC.

Both are listed at 322 A. Street in Wilmington, the headquarters of the Buccini/Pollin Group, one of Delaware's largest land owners and developers.

David Pollin, Christopher Buccini, and Robert Buccini also were listed as guarantors on the loan, according to court documents.

But, neither BPG nor its owners, are a party in the case, said Michael Hare, a senior vice president at the company.

BPG sold "to a partner" all but 4 percent of ownership in the buildings, just after the loan was signed in October, 2002, Hare said. With that sale, the buyers assumed the obligations of paying the loan attached to the properties, he said.

“It’s certainly not a peanuts dispute, it’s significant, but we are not the ownership entity,” Hare said. “The lender now has a judgement and the lender has a right to take this to sheriff sale.”

The buyer, which Hare later confirmed was Wafra Investment Advisory Group, “did not want the buildings, so they did not contest the foreclosure,” he said.

Wafra, which has offices in New York City, is owned by the government of Kuwait. Wafra officials did not respond to a request for comment on this story.

Asked why the limited liability companies still are listed at BPG offices, Hare said: "if we sold interest in the LLC, and the LLC was registered here, that address wouldn't change."

"We have not been involved in the operations for some time," he said.

Although BPG does own a small portion of the buildings, Hare did not immediately have a current assessment of their market values.

He did say that 41 percent of the Brandywine Building's offices are currently occupied. Occupants include Citi Financial Group. A lighted "Citi" sign sits facing Interstate 95 on top of the 405,844-square-foot building.

It is located at 1000, North West Street in downtown Wilmington. The Tatnall Garage, which has 660 parking spaces, is located at 208 West 12th Street.

The Brandywine Building incurred a loss of $35,386 between January and July 2017, according to a financial report filed on Thursday in U.S. District Court in Delaware.

An attorney for the current owner of the loan, U.S. Bank National Association, did not respond to calls and emails seeking comment.The original lender was the now-defunct Bear Stearns Commercial Mortgage Inc.

in 2009, during the recession, the loan on the Brandywine Building and the nearby garage was placed with a special mortgage servicer because of "imminent default," according to a report from Fitch Ratings, a global rating agency at the time.

The loan was flagged because it was part of a commercial mortgage-backed security, in which many mortgages are pooled, rated and sold to investors. A master servicer manages the pooled mortgages. Individual loans in a commercial mortgage-backed security are transferred to a special servicer when there is any danger of default, experts said.

In 2010, Robert Buccini said the loan was not in danger of default.

The News Journal reported at the time that the building had been running a roughly $700,000 annual deficit.

Today, the city's office space market also has been struggling, with downtown buildings posting an 18 percent vacancy rate in 2015, compared with 15 percent in the suburbs surrounding Wilmington.

Hare said the default would not likely harm the greater downtown commercial real estate market. He declined to comment on whether BPG might purchase the properties in the future.

"What really impacts the real estate market is occupancy," he said.
