Goldman Jumps On Blowout FICC Revenue Despite "Significant Decline" In I-Banking

 

One day after JPM reported disappointing earnings (coupled with a rather dismal economic outlook) and its stock plunged to one-year lows, moments ago Goldman Sachs bucked the trend, its stock jumping 1.6% after reporting better-than-expected first quarter trading revenue, which led to a solid overall revenue beat (Q1 revenue $12.93BN, Exp. $11.73BN), with EPS of $10.76 also coming in well above expectations of $8.90, with the only red flag being the weakness observed previously at JPM, namely at the investment banking group, though even here the miss was modest, with revenue coming in at $2.13BN, vs est of $2.28BN.

Cutting to the chase, here are all the relevant details:

It was a turbulent quarter dominated by the devastating invasion of Ukraine,” DJ and CEO David Solomon said in a statement.

Going back to the bank's trading results, the big (and pleasant) surprise here was the bank’s whopping FICC sales and trading revenue of $4.72 billion, up 21% Y/Y, which blew out estimates of a 20% drop to $3.12 billion - and which was the largest FICC revenue in at least 5 years (the next largest was $4.235 billion in the extraordinary Q2 of 2020-cough, Reverse Repo and all this "supply showing up, after the flood of Federal Reserve support to fight the Covid pandemic) - with revenues "significantly higher, reflecting higher net revenues in intermediation and significantly higher net revenues in financing." Equity sales and trading revenue also beat expectations, coming in at $3.15 billion versus the $2.73 billion seen by analysts if 15% lower Y/Y, with Goldman explaining that revenues "reflected lower net revenues in both intermediation and financing." That said, according to Goldman, the Q1 2022 operating environment was "characterized by strong client activity and increased volatility amid an evolving macroeconomic backdrop." As a result, overall trading rev. of $7.87 billion, far above the $5.84 billion expected, and up 4% vs a year as the Ukraine-war linked volatility sparked a lucrative frenzy in capital markets.

Some more details on global markets and the bank's whopper of an FICC quarter, where it appears that while the bulk of revenue came from commodities, although FICC financing also benefited from mortgage lending. It wasn't all great news, however, and just like JPM, Goldman reported a reversal of the trend observed in Q4 (when trading was weak and banking was strong) with weakness in IBanking, as revenue here came in at $2.13 billion, below expectations of $2.28 billion.

 

The bottom line: the size of Goldman's FICC trading revenue beat was so big and powerful, it allowed investors to ignore the company's weakness in Ibanking, and helped push its stock sharply higher in the premarket, bucking the trend set previously by JPMorgan.

Elon Musk Needs ‘Massive Loan’ or Big Tesla Stock Sale to Buy Twitter

 

Even for the world’s richest person, $43 billion is a steep price.

 

Elon Musk’s proposed all-cash offer to buy Twitter Inc. represents about one-sixth of his $259.3 billion fortune. Yet the vast majority of that wealth is tied to his stake in Tesla Inc., the electric carmaker he co-founded that has surged in value over the past two years and lifted him to the top of the Bloomberg Billionaires Index. The purchase isn’t straightforward, but Musk has several financing paths. One option is to sell his Tesla shares outright. Another is borrowing against them to stage a leveraged buyout, possibly with outside partners. Musk, 50, currently has about $3 billion in cash or other somewhat liquid assets after spending $2.6 billion buying a 9.1% stake in Twitter in recent months, according to Bloomberg calculations.

 

For Musk to raise the additional $36 billion in cash needed to buy the rest of Twitter would require selling about 36.5 million Tesla shares, or more than a fifth of his stake. Such an exit could risk a slide in the company’s share price -- not to mention potentially raise questions about the commitment, financial and otherwise, of its chief executive officer.

His other option is to borrow against his positions in Tesla and space exploration company SpaceX. Twitter shares fell 0.4% to $45.68 at 11:59 a.m. in New York. Musk offered $54.20 per share in cash.

 

Musk had 52% of his Tesla shares pledged as of June 30, according to the company’s most recent proxy filing. The maximum that can be borrowed against pledged shares is 25% of their value, according to a Tesla policy.

 

Since then, Musk has increased his share count by exercising options. His 172.6 million shares are worth $172 billion, meaning he could borrow $43 billion by pledging all of them.

 

Musk said in December 2019 that he had also pledged some of his SpaceX shares. His 47% stake in the company is worth about $47.5 billion, based on its February 2021 funding round. If there’s a similar maximum loan-to-value ratio, he could raise another $12 billion by fully pledging his SpaceX position -- although banks tend to be much more cautious funding a privately held position, given the lack of liquidity.

 

Also, Musk has Tesla options worth $56 billion that he might be able to borrow against. Bank of America Corp., Goldman Sachs Group Inc. and Morgan Stanley were three of the banks that provided Musk personal loans, according to a 2020 Tesla filing. He has hired Morgan Stanley to advise on the Twitter bid, and his family office, Excession, is run by longtime adviser Jared Birchall, a former Morgan Stanley banker.

 

No matter how he goes about it, buying all of Twitter would be a stark shakeup of Musk’s empire. His purchase of a 9.1% stake, first disclosed last week, marked his first significant diversification outside of Tesla and SpaceX. Musk has played up his devotion to both Tesla and SpaceX, frequently tweeting about their achievements and claiming to sleep on the floor of a Tesla factory to set an example to his employees. Meanwhile, since disclosing his stake in Twitter, he has appealed to fellow users about potential moves and in one case suggested the website might be dying, given the lack of tweets from some celebrities.

 

In recent years, Musk has indicated he’s streamlining at least some aspects of his financial affairs. He’s sold multiple mansions in California after vowing to “own no home,” in 2020. He currently lives in Texas, where he relocated the headquarters of Tesla last year.

The Insider Paper reported on Twitter on Thursday that one large Twitter shareholder, Saudi Prince Al Waleed, has rejected Elon Musk's large, $43 billion offer to buy the company outright and take it private. Al Waleed holds over 5 percent of Twitter's shares after a stock buy in 2015. This includes his own holdings, as well as those held by his investment company Kingdom Holding Company. He made the buy while Twitter was struggling to grow outside the US. Al Waleed said the offer simply wasn't high enough, given the potential for the platform's growth. Musk holds more than 9 percent of the shares.

 

Twitter responded to Musk's offer to buy the company outright, saying that they would be meeting to discuss it today. An all-hands meeting has been called for the entire company.

FBI releases classified documents from 2018 Horizon Air plane theft, crash

 

The Federal Bureau of Investigations has released more than 500 pages of previously classified documents about the investigation of a Horizon Airlines plane stolen from Sea-Tac Airport and crashed on Ketron Island in 2018 by a ground services worker.

 

One new piece of information that was released surrounded what was in a spiral notebook of 29-year-old Richard “Beeboo” Russell, who stole and flew an empty Horizon Air Bombardier Q400. The FBI noted that Russell wrote about then-President Donald Trump and the effects his immigration policies were having. He wrote he had the desire to do something that would benefit all mankind. Investigators said Russell worked alone when he was working as a ground service agent for the airline, and that he towed the turboprop out a hanger, climbed into the cockpit, and took off.

 

The flight data indicates Russell, who was never trained as a pilot, was in full control of the plane until his final descent, when he crashed into Ketron Island and killed himself.

Russell was a ground agent who had limited access to planes and towing equipment.

Here's the FT with more: The UK is to freeze an estimated £10bn of assets held by two longstanding business associates of Roman Abramovich, the Russian oligarch best known for his ownership of Chelsea Football Club. The sanctions on Eugene Tenenbaum and David Davidovich bring the total number of oligarchs, family members and associates with ties to Russia on the UK list to 106, the government said on Thursday. According to the government, corporate filings show that Tenenbaum, a director at Chelsea, took control of Ervington Investments, an Abramovich-linked investment vehicle, on February 24, the day Vladimir Putin sent troops into Ukraine.

 

UK foreign secretary Liz Truss called the move the "largest asset freeze action in UK history."

Mortgage rates top 5% for first time in a decade

Long-term U.S. mortgage rates continued to climb this week as the key 30-year loan rate reached 5% for the first time in more than a decade amid persistent high inflation. The average 5% rate on the 30-year mortgage was up from 4.72% last week, mortgage buyer Freddie Mac reported Thursday. The average rates in recent months have been showing the fastest pace of increases since 1994. By contrast, a year ago the 30-year rate stood at 3.04%.

Fired Goldman Trader Loses Bid to Revive Claim Against Bank

A former Goldman Sachs Group Inc. managing director failed to convince a court to revive his claim that he was illegally fired for blowing the whistle on compliance lapses at the bank. Christopher Rollins sued Goldman in 2018, but the case was sent to arbitration. A Financial Industry Regulatory Authority panel dismissed his claims last year, and a federal judge in New York on Thursday rejected Rollins’s attempt to overturn the arbitral decision.

 

Rollins claimed he was terminated for highlighting the bank’s dealings with controversial German financier Lars Windhorst and its failure to comply with anti-money-laundering laws. According to Rollins, he was made a scapegoat after transactions with Windhorst raised questions, even though the client relationship had been cultivated by more senior Goldman managers.

 

In seeking to vacate the March 2021 arbitral award, which also required him to pay $8,887.50 in fees, Rollins argued to U.S. District Judge Edgardo Ramos that he had been denied access to evidence, including compliance records showing that Windhorst was on a restricted list. But Ramos found that Goldman produced tens of thousands of pages of documents in the case and noted that Rollins conceded that he had received a fair hearing. The parties also introduced “ample evidence” about Goldman’s decision to terminate him including more than 100 exhibits and Rollins called 11 witnesses, the judge said.

Suspicious Activity Reports: OCC Authority for Exemptions to Suspicious Activity Report Requirements: Final Rule

 

On March 16, 2022, the Office of the Comptroller of the Currency (OCC) issued a final rule amending the OCC's suspicious activity report (SAR) regulations. This rule allows the OCC to issue exemptions from the requirements of those regulations based on a request from a bank1 subject to those regulations that meets the criteria specified in the final rule. The final rule adopts, with changes in response to comments, the proposed rule published in the Federal Register on January 22, 2021.

*harmonizes the OCC's legal authority to issue exemptions from its SAR regulations with preexisting exemptive authority of the Financial Crimes Enforcement Network of the U.S. Department of the Treasury (FinCEN).

*establishes processes for the OCC to facilitate changes related to SAR regulations required by the Anti-Money Laundering Act of 2020.

*establishes processes for the OCC to grant relief to banks that develop innovative solutions intended to meet Bank Secrecy Act requirements more efficiently and effectively.

*does not, by itself, result in any exemptions from SAR requirements. The final rule only clarifies the OCC's legal authority to issue such exemptions in the future.

 

When issuing any exemptions, the OCC expects to coordinate with FinCEN and the other federal banking agencies. For exemption requests from the OCC's SAR regulations that would also require an exemption from FinCEN's SAR regulation, a bank would need to seek an exemption from both the OCC and FinCEN.
