As the dream of a Twitter free from Big Tech censorship comes crashing down, Twitter’s lawyers are telling employees to keep quiet about Elon Musk and the $44 billion acquisition that has been brought to its knees by bots.

Following the announcement from Musk that the deal is off due to what his lawyer called “false and misleading representations,” several Twitter employees took to the platform to voice their reactions.

“End of season one — what a cliffhanger…” tweeted Amir Shevat, who, according to his bio, works on Twitter’s developer products.

Jared Manfredi, from the company’s iOS department, lamented, “If only this wasn’t the start of a long drawn out court battle that will just end up lowering the purchase price and continuing the circus for another indefinite amount of time.

Parag Agrawal, CEO of Twitter, gave Manfredi’s assessment a nod with a retweet.

And Twitter’s chairman, Bret Taylor, reaffirmed the board’s commitment to seeing the transaction through.

“The Twitter Board is committed to closing the transaction on the price and terms agreed upon with Mr. Musk and plans to pursue legal action to enforce the merger agreement,” he tweeted. “We are confident we will prevail in the Delaware Court of Chancery.”

One employee went on NBC and spoke out on the condition of anonymity, according to the Daily Mail.

Musk, the employee said, had “f**king destroyed the company.”

Emotional reactions might be reasonable given the drama that has surrounded the acquisition from the moment Musk proposed it, but according to a leaked memo obtained by New York Times reporter Mike Isaac, Twitter’s general counsel, Sean Edgett, just wants everyone to put a sock in it.

“Given this is an ongoing legal matter, you should refrain from Tweeting, Slacking, or sharing any commentary about the merger agreement,” the internal memo read. “We will continue to share information when we are able, but please know we are going to be very limited on what we can share in the meantime.”

“I know this is an uncertain time,” Edgett continued, “and we appreciate your patience and ongoing commitment to the important work we have underway.”

“Given this is an ongoing legal matter, you should refrain from Tweeting, Slacking, or sharing any commentary about the Merger Agreement,” he wrote.

Employees, it appears, did play a part in the demise of the deal.

In a regulatory filing on Friday, Musk’s attorney argued that Twitter had violated a provision of the deal when it fired two managers, laid off members of its talent acquisition team, put in place a hiring freeze, and rescinded job offers, according to the Daily Mail. Three department leaders also resigned.

With these actions, Twitter failed to “preserve substantially intact the material components of its current business organization,” the filing claimed.

Acting on Musk’s behalf, Skadden Arps attorney Mike Ringler stated that “multiple provisions” of the agreement were breached by the platform Musk envisioned as being a global “town square.”

“Mr. Musk is terminating the Merger Agreement because Twitter is in material breach of multiple provisions of that Agreement, appears to have made false and misleading representations upon which Mr. Musk relied when entering into the Merger Agreement, and is likely to suffer a Company Material Adverse Effect,” he wrote.

“While Section 6.4 of the Merger Agreement requires Twitter to provide Mr. Musk and his advisors all data and information that Mr. Musk requests ‘for any reasonable business purpose related to the consummation of the transaction,” Twitter has failed to meet its contractual obligations, Ringler continued.

“For nearly two months, Mr. Musk has sought the data and information necessary to ‘make an independent assessment of the prevalence of fake or spam accounts on Twitter’s platform,'” he stated. “This information is fundamental to Twitter’s business and financial performance and is necessary to consummate the transactions contemplated by the merger agreement because it is needed to ensure Twitter’s satisfaction of the conditions to closing, to facilitate Mr. Musk’s financing and financial planning for the transaction, and to engage in transition planning for the business.”

“Twitter has failed or refused to provide this information,” Ringler said. “Sometimes Twitter has ignored Mr. Musk’s requests, sometimes it has rejected them for reasons that appear to be unjustified, and sometimes it has claimed to comply while giving Mr. Musk incomplete or unusable information.”

Trump sends letter to Jan 6 Committee allowing Bannon to publicly testify

"I will waive Executive Privilege for you, which allows for you to go in and testify truthfully and fairly, as per the request of the Unselect Committee of political Thugs and Hacks," Trump wrote.

President Trump on Saturday sent a letter to Steve Bannon relieving him of the executive privilege he had previously invoked on their communications, and allowing him to testify before the January 6 Committee.

"I write about the Subpoena that you received in September 2021 from the illegally constituted Unselect Committee, the same group of people who created the Russia Russia Russia scam, Impeachment hoax #1, Impeachment hoax #2, the Mueller Witch-Hunt (which ended in no "Collusion"), and other fake and never-ending yarns and tales," Trump began in the letter obtained by Human Events Daily's Jack Posobiec for The Post Millennial.

"When you first received the Subpoena to testify and provide documents, I invoked Executive Privilege. However, I watched how unfairly you and others have been treated, having to spend vast amounts of money on legal fees, and all of the trauma you must be going through for the love of your Country, and out of respect for the Office of the President.

"Therefore, if you reach an agreement on a time and place for your testimony. I will waive Executive Privilege for you, which allows for you to go in and testify truthfully and fairly, as per the request of the Unselect Committee of political Thugs and Hacks, who have allowed no Due Process, no Cross-Examination, and no real Republican members or witnesses to be present or interviewed. It is a partisan Kangaroo Court.

"Why should these evil, sinister, and unpatriotic people be allowed to hurt and destroy the lives of so many, and cause such great harm to our Country? It has been, from the time I came down the escalator at Trump Tower, a political hit job against the overwhelming majority of Americans who support the concept and policy of Making America Great Again and putting America First. Good luck in all of your future endeavors," Trump concluded.

Following this letter, attorney's representing Bannon sent a letter to January 6 Committee Chair Bennie Thompson, saying that "On the morning of October 19, 2021, you denied our request for a one week adjournment in light of the filing of a lawsuit by President Donald J. Trump. Later that same day, your Committee voted to recommend Stephen K. Bannon to the full House for a finding of criminal contempt. After that, later that same evening, you wrote to me to make a point that your Committee was always willing to hear Mr. Bannon's testimony should he 'change his posture' or should circumstances change."

"Mr. Bannon has not had a change of posture or of heart," the letter continued. "Mr. Bannon has always been consistent, that because President Trump invoked executive privilege with respect Mr. Bannon's testimony and the production of requested documents, Mr. Bannon was obligated to honor the President's invocation, unless and until, either your Committee reached a constitutionally required accommodation with President Trump as to the invocation of executive privilege or your Committee obtained a ruling from the Federal District Court that the invocation of executive privilege was improper or did not apply to the particular question or document sought. I consistently informed you that if either of those events took place, Mr. Bannon would comply with the decision.

"While Mr. Bannon has been steadfast in his convictions," the letter reads, noting that Trump's letter is attached, and that "circumstances have now changed. President Trump has provided us with a letter, which is attached, attesting to the fact that back in October 2021, he did invoke executive privilege with respect to Mr. Bannon's testimony and document production. Further, in light of the surrounding circumstances, even in the absence of any effort by your Committee to reach the requested accommodation with President Trump, President Trump has decided that it would be in the best interests of the American people to waive executive privilege for Stephen K. Bannon, to allow Mr. Bannon to comply with the subpoena issued by your Committee. Mr. Bannon is willing to, and indeed prefers, to testify at your public hearing."

This letter comes only weeks before Bannon was scheduled to be tried for contempt of Congress for failing to comply with the subpoena in the first place. The Committee has long been seeking to obtain testimony from Bannon, since issuing the subpoena in September 2021.

As The Post Millennial reported on Friday: that Bannon was facing a trial over his refusal to comply with the subpoena at all, citing executive privilege, has been called "banana republic behavior."

When Bannon was first subpoenaed by the Committee, Trump invoked executive privilege, as Bannon was a chief strategist. Now Trump is willing to give up that claim, according to the Washington Post, if Bannon and the Committee can agree to terms. By November 2021, Bannon was charged with contempt of Congress for not complying with the subpoena, and he surrendered to the FBI.

Because Bannon was not working with the Trump administration at the time of the Capital riot on January 6, the Committee has claimed that Trump's invocation of executive privilege was invalid.

SALEM — A New Hampshire woman who says she was treated by Dr. Keith Ablow for nearly a decade has now filed a malpractice lawsuit against the former Newburyport psychiatrist.

The Londonderry, New Hampshire, resident alleges that during the course of her treatment by Ablow, he engaged in numerous boundary violations, including those of a sexual nature.

She also alleges that after his medical license was suspended, Ablow asked her to become a pastor in a church he wanted to start.

Ablow, 60, who has offices at 36 Water St. in Newburyport, was sued by four women in 2018 and 2019. All four women alleged boundary violations by Ablow, and three of them said those violations included sexual conduct.

The suits were settled out of court for undisclosed sums.

RIP SkyKing! I didn’t know him but a friend worked with him at SeaTac and said Richard was going through a lot at home. He was a good guy who had a bad couple of weeks - he wasn’t looking to hurt others which is pretty clear when you listen to the full radio communications from that day and his discussions with air traffic control. He just wanted to do something spectacular and even when in flight he said he didn’t think it would end well for him considering he didn’t know how to land it. I encourage anyone who thinks what he did was terrorism to listen to the full recordings from that day. He made a mistake but even in doing it was trying to protect the public from his decision. It’s why he crashed into an almost empty island.

Dr. Keith Ablow, the bizarre psychiatrist who was once part of Fox News’ “Medical A-Team,” had his office raided by the Drug Enforcement Agency yesterday. It’s just the latest round of troubles for Ablow whose license was suspended last year after he was accused of sexually abusing his patients.

Last year, I wrote about the shocking allegations against Ablow in three malpractice lawsuits. I quoted this from The Boston Globe:

“He began to hit me when we engaged in sexual activities,” wrote one plaintiff, a New York woman, in a sworn affidavit filed with her lawsuit. “He would have me on my knees and begin to beat me with his hands on my breasts,” she wrote, “occasionally saying, ‘I own you,’ or ‘You are my slave.’”

The malpractice lawsuits, two of them filed on Thursday in Essex Superior Court and a third filed last year, paint a picture of a therapist who encouraged women to trust and rely on him, then coaxed them into humiliating sexual activities, often during treatment sessions for which they were charged. When the New York woman had trouble paying her therapy bills, she said, Ablow advised her to work as an escort or stripper because the work was lucrative.

Although Ablow “categorically, completely” denied those allegations against him, his problems appear to have escalated.

NEWBURTYPORT — A judge terminated a harassment prevention order issued against local psychiatrist and former Fox News contributor Dr. Keith Ablow Thursday, ruling that Ablow's former assistant failed to meet the burden of proof required by law to extend the order.

In his decision, Newburyport District Court Judge Allen Swan said that for the order to have been extended for up to a year, the woman needed to show at least three instances of willful or malicious conduct.

But after nearly four hours of testimony over two days, from witnesses ranging from a private investigator hired by Ablow to a Newburyport police inspector, the former assistant failed to do so to Swan's satisfaction.

During the woman's testimony on Wednesday, she accused Ablow of sexually harassing her at work and repeatedly crossing her "physical boundaries," at one point touching her buttocks.

"Leave me alone, do not come into my personal space," she said on the witness stand.

She quit her job in July 2015 after working for Ablow for 14 months. But the woman said it was the testimony she gave in February, regarding civil lawsuits filed by four former patients, that eventually resulted in her seeking the harassment prevention order.

The former assistant claims Ablow would repeatedly spot her walking on Green Street and follow her in his car. She also said there was an instance when he waited in his car for her to leave a downtown pet store and then sped out of the parking lot in an alleged attempt to intimidate her.

Ablow never took the stand.

SALEM — A series of lawsuits alleging that celebrity Newburyport psychiatrist Dr. Keith Ablow had taken advantage of patients, including engaging in sexual behavior with them, inappropriately prescribing drugs and other "boundary violations," have been settled, court records show.

Terms of the settlements were not disclosed in court filings late Tuesday in Salem Superior Court.

Ablow, 57, of Newbury, has also had his medical license suspended in Massachusetts and New York.

Another former patient files suit against Newburyport psychiatrist

SALEM — A New Hampshire woman who says she was treated byDr. Keith Ablowfor nearly a decade has now filed a malpractice lawsuit against the former Newburyport psychiatrist.

The Londonderry resident alleges that during the course of her treatment by Ablow, he engaged in numerous boundary violations, including those of a sexual nature.

She also alleges that after his medical license was suspended, Ablow asked her to become a pastor in a church he wanted to start.

Ablow, 60, who has offices at 36 Water St. in Newburyport, was sued by four women in 2018 and 2019. All four women alleged boundary violations by Ablow, and three of them said those violations included sexual conduct.

The suits were settled out of court for undisclosed sums.

Ablow’s license to practice psychiatry was summarily suspended by the Board of Registration in Medicine after the allegations came to light in 2019. Ablow continued offering services that did not require a license, including what were described on his own websites as pastoral counseling and life coaching.

According to his website and publicity releases online, he runs entities called Pain-2-Power and The Ablow Center out of his Water and Center street offices in Newburyport.

The new lawsuit, filed March 2 in Salem Superior Court, seeks more than $5 million in damages for negligence. It names both Ablow and his now-defunct corporation, Baystate Psychiatry P.C.

Efforts to reach the attorney for the woman were unsuccessful.

Ablow did not return a call seeking comment. A message left for the last known attorney to represent Ablow was also not returned.

The lawsuit alleges that Ablow engaged in “seductive, sexual and unprofessional behavior,” ranging from encouraging sexual conversations in treatment sessions to engaging in sexual acts “for Keith Ablow’s personal gratification.”

The woman said that while he was treating her, he prescribed “large quantities” of medications, including the prescription opiates oxycodone, hydromorphone and tramadol, along with benzodiazepine and ketamine infusions.

Ablow, the woman said, encouraged her to engage in behavior that made her emotionally dependent, encouraging her to email and text him at all hours, and began “injecting himself” into her personal relationships, and where she lived and worked, even offering treatment to her husband.

He also made inappropriate personal disclosures about his own life, including his wife and children and colleagues, and discussed personal issues of his own, including, the suit alleges, drug use and his own medical care.

Many of the allegations are similar to those in the lawsuits filed in 2019 on behalf of three of the four other former patients.

After earlier lawsuits became public and the subject of news coverage, the woman says Ablow asked her to post “positive” reviews on Yelp and Google. She was also asked to submit a letter of support to Ablow’s attorney, the complaint says.

The woman continued to see Ablow after his license was suspended, stopping about February 2020.

The woman says in her complaint that Ablow also planned to start a church, and solicited her to become a pastor.

The woman says in her complaint she didn’t realize the extent to which she had been harmed until recently, after ending treatment with Ablow.

Ablow’s conduct, the lawsuit says, caused the woman to be in denial and repression, unable to connect it to her stress, emotional distress, sleeplessness, anxiety, depression and post-traumatic stress disorder.

In February 2020, DEA agents raided Ablow’s Newburyport office. No charges have been made public in connection with that raid.

Ablow, who grew up in Marblehead, was a well-known author and television personality for years. He testified for the defense in several high-profile trials, including those of North Shore dermatologist Dr. Richard Sharpe in 2001 andChristian Karl Gerhartsreiter, who was known by his fictitious name “Clark Rockefeller,” in 2009.

He also became known for controversial commentaries on Fox News, which ended its relationship with him in 2017.
