"Roll Tide" is the name of a dramatic piece of orchestral music that was composed by Hans Zimmer for the 1995 Hollywood Pictures film Crimson Tide. Most of the film is set aboard the USS Alabama, an Ohio-class nuclear-powered fleet ballistic missile submarine.

"Roll Tide" is the name of a song by the California based American folk-rock band Dawes on their studio album We're All Gonna Die, released in September 2016. The song is a melancholy lamentation about love, forgiveness, and reconciliation; it alludes to the Alabama Crimson Tide rallying cry and to the state of Alabama itself, but it also draws upon a more literal, water-based metaphor relating to the word "tide".

Tender Offer

A tender offer is a conditional offer to buy a large number of shares at a price that is typically higher than the current price of the stock. The basic idea is that the investor or group of individuals making the offer are willing to pay the shareholders a premium – a higher than market price – for their shares, but the caveat is that they must be able to buy a specified minimum number of shares. Otherwise, the conditional offer is canceled. In most cases, those that extend a tender offer are looking to acquire at least 50% of the company’s shares in order to take control of the company.

How a Tender Offer Works

Because the party looking to buy the stocks is willing to offer the shareholders a significant premium over the current market price per share, the shareholders have a much greater incentive to sell their shares.

To get a better understanding of how this works, consider this example. An investor approaches the shareholders of Company A whose stock shares are selling for $15 per share. The investor offers the shareholders $25 dollars per share, but the offer is made conditional on the investor being able to acquire more than 50% of Company A’s total outstanding shares.

It’s also important to note that tender offers can be made and carried out without the target company’s board of directors giving approval for the shareholders to sell. The individual(s) looking to acquire the shares approach the shareholders directly. If the target company’s board doe not approve of the deal, then the tender offer effectively constitutes a “hostile takeover” attempt.

Regulations on Tender Offers

Tender offers are subjected to strict regulation in the United States. The regulations serve as a means of protection for investors and also act as a set of principles that stabilize businesses targeted by those making tender offers. The rules give the businesses a foundation to stand on so that they can respond to any potential takeover attempts. There are many regulations for tender offers; however, there are two that stand out as the strictest.

It began as a reply in a Twitter thread to a user discussing “good boards” for companies in Silicon Valley.

Jack Dorsey responded “big facts” to the comment: “What I do know for sure is that this old Silicon Valley proverb is grounded in age-old wisdom that still applies today: Good boards don’t create good companies, but a bad board will kill a company every time.”

Another user responded to Jack Dorsey’s “big facts” reply stating:

Nonprofit Finds Glyphosate in Cereal and Snack Bars

If you or your children are eating Cheerios right now, there’s a good chance that they’re accompanied by a potentially harmful weed killer called Roundup.

The Environmental Working Group (EWG) on Wednesday released the results of a test it conducted on popular oat-based products, like Cheerios,Lucky Charms, Kind Bars, Nature Valley bars, and others, to determine whether they contained any of the herbicide glyphosate. Glyphosate is the active ingredient in Monsanto’s Roundup weed killer, and at high levels, has been linked to cancer.

Unfortunately, some of the results were not what you might hope.

In its testing, the EWG tested 45 samples of conventionally grown oats and 16 of organically grown oats. In 43 of the 45 conventional cases, it detected glyphosate. And in 31 of those cases, glyphosate levels were above the organization’s health benchmark of 160 parts per billion. On the organic side, just five products were discovered to have had Glyphosate and none of them reached the 160ppb benchmark.
