Twitter board adopts poison pill after Muskโ€™s $43 billion offer to buy company

Twitter adopted a limited duration shareholder rights plan, often called a โ€œpoison pill,โ€ a day after billionaire Elon Musk offered to buy the company for $43 billion, the company announced Friday.

 

The board voted unanimously to adopt the plan.

 

Under the new structure, if any person or group acquires beneficial ownership of at least 15% of Twitterโ€™s outstanding common stock without the boardโ€™s approval, other shareholders will be allowed to purchase additional shares at a discount.

 

The plan is set to expire on April 14, 2023.

More countries agree to ruble payments for gas โ€“ Russian deputy PM

 

Moscow is awaiting decisions from other importers, Alexander Novak says

 

Several buyers of Russian natural gas have agreed to switch to payment in rubles, Russian Deputy Prime Minister Alexander Novak said on Friday.

 

โ€œWe expect the decision [to switch to rubles] from other importers,โ€ Novak added, in comments published in the ministryโ€™s magazine, without disclosing the identities of the customers who have already switched.

 

The deputy PM noted that EU countries will likely not be able to completely replace Russian energy in the next 5-10 years. It is impossible to talk about guaranteeing Europeโ€™s energy security without Russian resources, he said.

 

Russian President Vladimir Putin said on Thursday that some Western countries are failing to pay on time for deliveries of Russian energy. Last month, Putin signed a decree that requires a new payment procedure for Russian gas starting on April 1, for buyers from hostile nations. The measure concerns countries that have imposed sanctions on Russia and have frozen its foreign reserves.

 

Russia has instructed buyers operating in countries designated as โ€œunfriendlyโ€ to open two accounts in Russiaโ€™s Gazprombank, one in euros and one in rubles. Payment for gas would go to the euro account, after which the bank would exchange it into rubles. State-owned Gazprom will consider payments complete once the rubles arrive.

 

Hungarian Foreign Minister Peter Szijjarto said this week the country is ready to pay for Russian gas in accordance with the proposed scheme. Szijjarto added that his country does not believe this violates the EUโ€™s sanctions regime.

 

On Friday, Armeniaโ€™s economy minister, Vahan Kerobyan, told Russian media outlet RBC that Yerevan has made several payments for natural gas in rubles.

An Elon Musk-owned Twitter is a scary prospect for the establishment

Nothing is more frightening to some than a renegade billionaire who declares himself a โ€œfree speech absolutistโ€

 

A disruptor and visionary, Elon Muskโ€™s actions and personality embody the spirit of Silicon Valleyโ€™s once-vaunted mentality of disruptive techno-Darwinism. While much of the tech industry has become quite content to embrace the certainty offered by the establishment once they made their billions, Musk โ€“ now the worldโ€™s richest man โ€“ is a one-man earthquake, and Twitter has become ground zero for his latest shakeup.

 

Muskโ€™s philosophy of going outside the norm and doing things his own way is a net positive for humanity, as exemplified through his work on electric vehicles, renewable energy, and space travel โ€“ and his attempt to curtail the destruction of free speech through the acquisition of Twitter is no different.

 

โ€œGiven that Twitter serves as the de facto public town square, failing to adhere to free speech principles fundamentally undermines democracy,โ€ Musk declared, weeks before he made his purchase of Twitter stock. And on Thursday, Musk announced that he wants to take over the company in its entirety.

 

โ€œI invested in Twitter as I believe in its potential to be the platform for free speech around the globe, and I believe free speech is a societal imperative for a functioning democracy,โ€ wrote Musk in his letter to the companyโ€™s board of directors. โ€œHowever, since making my investment I now realize the company will neither thrive nor serve this societal imperative in its current form. Twitter needs to be transformed as a private company.โ€

 

Muskโ€™s advocacy for free speech even extends to his own internet platform, Starlink. After providing internet access to Ukraine, Musk famously refused to censor Russian news sources on his satellites, despite being โ€œtoldโ€ to do so by โ€œsome governments.โ€

 

Whether anyone likes it or not, Twitter has become the only viable venue for political, social, and cultural discourse โ€“ a platform where anyone with any amount of influence has a say, either directly or through a proxy. Knowing this, progressives and US Democrats rolled into the company to weaponize its algorithms to promote their own narratives while disempowering conservatives and other dissident voices.

 

In recent weeks, Amazon, Google, and Meta-owned social media platforms like Twitch, YouTube, and Facebook made it all but impossible to offer any divergent viewpoints on the conflict in Ukraine, prohibiting criticism and even factual rebuttals of blatant propaganda as โ€œRussian disinformation.โ€ And, in many cases, creators are simply being banned for the crime of being born in the wrong country.

 

Rather than allowing debate, these platforms have banned users for โ€œpromoting hate speech.โ€ Indeed, unless you know to keep your mouth shut on the subject, your presence is unwelcome by the platforms whoโ€™ve all but whitewashed atrocities in the Donbass and invite the glorification of war criminals like the Azov Battalion.

 

To its credit, Twitterโ€™s crackdown on free speech has been somewhat less severe in comparison to its rivals, although it has seen fit to add content warnings to the Russian media. Bans of Russian accounts like the popular โ€œRussians With Attitudeโ€ podcast were, by and large, prompted by mass reports (and in some cases reversed) rather than through direct action by Twitter itself.

 

But make no mistake, Twitter is no model for free speech. While the platform may not be as harshly censorious of topics surrounding Ukraine, the platform continues to crack down on womenโ€™s rights activists who raise their voices against transgender ideology. Even satire, like jokes about transgender US Admiral Rachel Levine, are a bannable offense.

 

Muskโ€™s attempt to take over Twitter canโ€™t come at a more crucial time. With free speech under constant attack, and with the US midterm elections just months away, who controls Twitter could very well decide the outcome of Americaโ€™s sociopolitical landscape for years to come.

 

The Tesla founderโ€™s latest move has riled up the establishment. Axios, a publication that brands itself as a clinical and analytical source, broke its own rules by comparing Musk to a Marvel movie supervillain who is โ€œcommanding seemingly unlimited resources with which to finance his mischief-making.โ€โ€ฆ

But, Goldman Sachs was engaged to evaluate the offer from Musk. That activity is going on right now. Its like a due diligence weekend of work. Lawyers and Accountants look over everything. The "board" has not rejected Musk's offer, just the news from Saudi Prince. He's not 'the board' and he's not even on the 'board of directors'.

 

Bannon yesterday stated GS was engaged by the board to evaluate the Musk offer. This poison pill is a hedge.

Does everybody remember 'Judge Roy Moore'? Remember when MAGA all wanted Roy Moore and remember when Q+ told us he was unelectable and giving Roy Moore the primary win would give Democrats the Senate seat?

 

Now fast forward to Oz - Trump understands how corrupt Pennsylvania is right now. He understands the Cities and Counties that will elect the next PA Senator. If Trump says we need Oz to beat the Democrat, it's a good bet Oz is the ONLY ONE that can beat the Democrat. So unless you want a pedophile loving fuckwit called Connor Lamb, who is so corrupt he can't even pee straight without a good sized bribe, my advice is to listen to Trump.

Every German should contribute to reducing the nationโ€™s dependence on Russian energy, federal Vice Chancellor and Economy Minister Robert Habeck told the Funke Media Group on Friday, as he called on fellow citizens to start reducing their energy consumption, while offering several tips.

 

โ€œAs a rule of thumb, I would say: saving 10% is always possible,โ€ Habeck said, urging โ€œeveryone to make a contribution to saving energy nowโ€ and announcing a government campaign. The Green politician said saving energy is not only part of the effort to โ€œbecome more independent from Russian imports,โ€ but also a โ€œbig joint projectโ€ that will help Germany in the long run.

 

โ€œIt will make it easier on the wallet and annoy [Russian President Vladimir] Putin,โ€ the minister said, adding that โ€œwe will protect climate on top of that.โ€ The list of measures suggested by the minister involves using bicycles instead of cars, and โ€œnot just on Sundays,โ€ as well as allowing people to work from home, as it had been during the Covid-19 pandemic lockdowns.

 

People could work from home at least โ€œone or two days a week on a voluntary basis for the time being,โ€ Habeck said. Drawing the curtains while heating the apartment in the evening could save up to 5% of energy consumption, the minister believes. Lowering the room temperature by one degree would save another 6%, he added, arguing that, though it โ€œmay not be quite as comfortable, you are not freezing yet.โ€

 

Habeck also insists on supplying Ukraine with more weapons amid its ongoing military standoff against Russia. โ€œMore weapons must come,โ€ he said on Friday, adding that Berlin cannot leave Kiev โ€œalone.โ€

 

โ€œUkraine must not lose; Putin must not win,โ€ he stated, though Berlin also has a responsibility to Germans and must avoid making Germany โ€œa target,โ€ adding that Germany has created a framework in which it โ€œdelivers everything that is possible,โ€ but this โ€œdoes not include tanks or fighter jets so far.โ€

 

The minister also noted that the Leopard 1 tanks which German defense company Rheinmetall reportedly considered sending to Ukraine earlier this week are in fact not combat-ready, and making them so could take months.

The Ukrainian forces have shown โ€œlack of careโ€ for civilians, Aiden Aslin claims

 

The situation in the Ukrainian port city of Mariupol is โ€œcatastrophic,โ€ and the Ukrainian forces are largely to blame for it, a UK citizen identified as Aiden Aslin, who reportedly fought in the city, said in a video obtained by RT.

 

The British man apparently surrendered to Russian forces along with Ukrainian marines earlier this week.

 

Aslin said that when he joined the Ukrainian military in 2018, he believed he was with the โ€œgood side.โ€ He explained that the situation in Mariupol was โ€œan eye-openerโ€ for him, claiming he sought to convince his commanders to leave the city, but they chose to stay, not least because Kiev supposedly wanted them to stay.

 

โ€œThe situation in Mariupol is catastrophic. It could have been avoided should Ukraine have left but they chose to stay. Zelensky had a big role [in this decision]. He could have told them to leave but they stayed. I did not want this, I wanted to leave because we do not need war,โ€ Aslin can be seen saying in the video.

 

What he saw in the city during the weeks of heavy fighting also influenced his views on the Ukrainian military. โ€œIt was like seeing reality for the first time,โ€ Aslin said, adding that he witnessed a โ€œlack of care for civiliansโ€ on the part of the Ukrainian military.

 

โ€œThey [the Ukrainian soldiers] looted supermarkets when civilians needed food to survive in the encircled city; they [the military] took food from the supermarkets. They would stop civilians [from] going out to get water. They would stop civilians from taking water from a supermarket that had been looted; water they had themselves taken.โ€

 

โ€œThey are criminals,โ€ he added, referring to the Ukrainian soldiers, when asked about the Ukrainian military allegedly killing civilians in the city.

 

The man, who claims that previously he joined the Kurdish forces in Syria to fight Islamic State (IS, formerly ISIS), says he wants nothing more than to go home to his family and does not want to join any foreign military again, because he is โ€œdone for, after Mariupol.โ€

It appears that the West doesnโ€™t want peace in Ukraine

 

Rather than pursuing a truce, the US and allies are doing all they can to turn the Ukraine conflict into a proxy war against Russia

After spending the first month of the Russia-Ukraine conflict calling for Russia to withdraw, it is now increasingly apparent that the US and its allies have changed course and are set on an ambition to drag out the conflict to impose as much damage on Moscow as possible, in particular by intensifying weapon supplies, and providing training and intelligence for the Ukrainian Army. Although it was, of course, Moscow that made the choice to initiate the conflict in the first place, it has always been abundantly clear that the US viewed the situation in absolutist terms.

 

Washington opposed any kind of prior compromise between Russia and Ukraine that may have helped avoid hostilities, which encouraged Zelenskyโ€™s overconfidence in refusing to negotiate. The same situation is panning out now. Washington does not want the war to end in a swift settlement whereby Ukraine makes concessions to Russia, because the ideal outcome is to ensure Moscow takes as much damage as possible, which means that a war of increasing escalation is in fact in the USโ€™ interests.

 

There are several reasons for this. First of all, Russiaโ€™s tactical withdrawal from the north of Ukraine and a renewed focus on Donbass appears to have given confidence to the West that they can succeed in undermining Putinโ€™s โ€˜core war goalsโ€™. Secondly, intensifying the conflict and escalation gives the West the political space to continue to impose more sanctions on Moscow and allows the US to impose more โ€˜unityโ€™ on its European allies.

 

Washington has also calculated that the broader context of this conflict will allow it to push harder for Chinaโ€™s isolation, force countries to take sides and expand military blocs. It has been reported recently that the US is seeking for Japan to join the AUKUS alliance and to expand the military containment of China. Recent comments by Janet Yellen also demanded Beijing oppose the Russian offensive in Ukraine or risk โ€œlosing standingโ€ in the world. In other words, the more the US can prolong this, the more geopolitical outcomes it can get in its favour.

 

This escalation scenario for Russia, however, risks turning the Ukraine crisis into a new โ€˜great patriotic warโ€™ โ€“ that is, a conflict in which the survival of the nation itself is at stake. Why so? The United States and its allies have made it no secret that they want the war to end in failure for Russia. Some of them would like nothing more than for a military failure to precipitate the downfall of President Putin and the government โ€“ even if the only straight-up regime change call was ostensibly a slip of the tongue by US President Joe Biden. This confirms the Kremlinโ€™s long-held suspicions about the true intentions of the West and the goals behind the expansion of NATO.

 

In conclusion, this means weโ€™re now going into very dangerous territory. The US and its allies could not be clearer that they never wanted peace or compromise and are escalating the situation in Ukraine as a bid to affirm their own geopolitical hegemony over the world, be it against Russia, India, or China. For Russians, this becomes an ever-growing struggle against the Western bid to dominate, coerce, and subjugate their country, with Ukraine as the sacrificial pawn.

It took me years to come around to slav shit firearms. When I finally did I was pissed at myself for not purchasing any in the pre-ban era. The good stuff really isn't for sale these days. Those US made from global parts are a hit or miss proposition. I've seen some go thousands of rounds and some go 200. They often need some TLC for clearances in the breach. I've got an early WASR 10 that is good at best but to get it there required a few trips to the firing range and a can of blue machinists dye.

Plus with new sanctions ammo is hard to find and way more expensive now.

If the rights become exercisable, all holders of rights (other than any triggering person) will be entitled to acquire shares of common stock at a 50% discount or the Company may exchange each right held by such holders for one share of common stock. Under the Rights Plan, any person which currently owns more than the triggering percentage may continue to own its shares of common stock but may not acquire any additional shares without triggering the Rights Plan. The Rights Plan does not contain any dead-hand, slow-hand, no-hand or similar feature that limits the ability of a future board of directors to redeem the rights.

 

The Rights Plan has a one-year term, expiring on November 23, 2022. The Board may consider an earlier termination of the Rights Plan as circumstances warrant.

Actor Sean Penn may go to Ukraine to fight Russian forces.

 

The 61-year-old Oscar-winning celebrity has reportedly been working on a documentary for Vice about escalating tensions in the country since last year, and flew to Ukraine in February to get a firsthand look at the war.

After returning from the warzone in February, the Ukrainian embassy praised Pennโ€™s effort to film the documentary in Kyiv.

 

โ€œSean Penn demonstrates the courage that many others, especially Western politicians lack. The more such people in our country now, true friends of Ukraine, who support the struggle for freedom, the sooner it will be possible to stop Russiaโ€™s treacherous attack,โ€ the Ukrainian embassy told Newsweek in a translated statement.

 

Now the actor is contemplating whether to go back to Ukraine to โ€œtake up arms against Russia.โ€

โ€œIf you have seen war, and Iโ€™ve seen a little bit of it, thereโ€™s a rite of passage while you are in or near it that has to do with some basic questions you ask yourself: how would I react? Could I keep enough oxygen in my brain to make clear judgments? Are you going to be damaged by being in a war, emotionally or psychologically?โ€ he said.

 

โ€œI think that there is a certain part of my own pursuits that is influenced by those questions that on some level demand answering.โ€

 

Penn also detailed accompanying Ukrainian President Volodymyr Zelensky at the start of the invasion.

 

While being with Zelensky โ€œthe day before the invasionโ€ and โ€œduring the invasion, on day one,โ€ he said, โ€œit struck me that I was now looking at a guy who knew that he had to rise to the ultimate level of human courage and leadership. I think he found out that he was born to do that.โ€

 

When Penn returned from Kyiv n February he urged the U.S. to join Ukraine in its war against Russia, warning โ€œour soul as America is lostโ€ if we donโ€™t join the fight.

 

Despite Hollywood and the Biden administrationโ€™s effort to galvanize public support for US intervention in the Russia, Ukrainian conflict, most Americans oppose U.S. involvement in the war. A recent poll conducted by the Associated Press-NORC Center for Public Affairs Research poll shows just 26 percent of Americans want the U.X. To play a major role in the war; 52 percent say a minor role; 20% say none at all.

More countries agree to ruble payments for gas โ€“ Russian deputy PM

 

Moscow is awaiting decisions from other importers, Alexander Novak says

 

Several buyers of Russian natural gas have agreed to switch to payment in rubles, Russian Deputy Prime Minister Alexander Novak said on Friday.

 

โ€œWe expect the decision [to switch to rubles] from other importers,โ€ Novak added, in comments published in the ministryโ€™s magazine, without disclosing the identities of the customers who have already switched.

 

The deputy PM noted that EU countries will likely not be able to completely replace Russian energy in the next 5-10 years. It is impossible to talk about guaranteeing Europeโ€™s energy security without Russian resources, he said.

 

Russian President Vladimir Putin said on Thursday that some Western countries are failing to pay on time for deliveries of Russian energy. Last month, Putin signed a decree that requires a new payment procedure for Russian gas starting on April 1, for buyers from hostile nations. The measure concerns countries that have imposed sanctions on Russia and have frozen its foreign reserves.

 

Russia has instructed buyers operating in countries designated as โ€œunfriendlyโ€ to open two accounts in Russiaโ€™s Gazprombank, one in euros and one in rubles. Payment for gas would go to the euro account, after which the bank would exchange it into rubles. State-owned Gazprom will consider payments complete once the rubles arrive.

 

Hungarian Foreign Minister Peter Szijjarto said this week the country is ready to pay for Russian gas in accordance with the proposed scheme. Szijjarto added that his country does not believe this violates the EUโ€™s sanctions regime.

 

On Friday, Armeniaโ€™s economy minister, Vahan Kerobyan, told Russian media outlet RBC that Yerevan has made several payments for natural gas in rubles.

TOWARDS A SANE MARIJUANA POLICY FOR OKLAHOMA AND AMERICA

Since the passage of state question 788, Oklahoma has experienced the boom of a billion dollar industry creating around 45,000 jobs in our state. At this point, 47 States now have some form of medical cannabis program. Unfortunately, that boom has also flooded our State with operations led by organized crime cartels. While Oklahoma is making progress against bad actors, we need action at the federal level, now. Lack of action has allowed criminal operators to move from state to state for over a decade, regardless of if the system is one of over regulation and high taxes like California, or a free market system like Oklahoma. Being criminals, they ignore whatever state laws exist. This will continue without substantial federal action.

 

As a Pastor, I have never used marijuana. However, the people of our state and nation overwhelmingly support its use for medicine. Our Government must respect this, but take action to ensure their safety and our national security. In Oklahoma, we have seen first-hand the problems created by our federal officials failing to act on this issue. States are left to fend for themselves against powerful crime syndicates who exploit new state laws. In fact, these criminal organizations are funneling money overseas to our greatest geopolitical adversary, China. How can we fight off this external threat, while allowing it to exist in our own backyard?

 

Beyond this clear and present danger, there are other real issues with marijuana that must be addressed immediately. Legitimate businesses are denied access to banking, this forces them to deal mostly in cash making them targets for robbery and murder. Businesses should also be allowed to deduct normal expenses in tax filings, which is currently disallowed. This increases their costs making them less competitive against illicit market forces. People are forced to be dependent on big pharma for health issues that may be better treated with plant based medicine. We need federal action that respects a stateโ€™s right to govern its own program, doesnโ€™t overburden business or consumers with costs and fees, and provides resources to take action against the bad actors. There is actually precedent for this at the federal level.

 

In 2018, the Farm Bill legalized production of Industrial Hemp. Both hemp and marijuana are the same plant, cannabis. The difference is a legal definition, hemp is cannabis grown with less than 0.3% THC and marijuana is cannabis grown with more than 0.3% THC. Failure by the current administration has allowed for hemp to be concentrated into marijuana after being grown and legally sold online in all 50 states. We need to move swiftly to address cannabis policy as a whole. Nothing less than national security and public safety are on the line.

 

My opponent, James Lankford, fought hard for SQ788, the Medical Marijuana Legalization Initiative, to be rejected by the people of Oklahoma. In fact, Lankford WENT ON RECORD with his thoughts of what a medical marijuana program in Oklahoma would do to our State. None of the wise prognostications of Mr. Lankford have come true. In fact, like with other issues, fear, uncertainty, and doubt seem to be the go to stance of โ€œlook awayโ€ Lankford.

 

Last week the US House of Representatives voted to decriminalize the possession of marijuana. Since Oklahoma has legalized medicinal marijuana I don't think possession is a federal crime. I would vote in the US Senate for this house-passed measure. I am calling on Senator Lankford to tell us how he intends to vote. If elected, I will bring the Oklahoma Standard to Washington and work to take this issue head on, unlike James Lankford who continues to look away from these problems and is complicit in the Biden administrationโ€™s failure and broken promise to address cannabis.

Two men in Yuma County, Arizona, Gary Snyder and David Lara, busted a local ballot trafficking operation using undercover cameras during the 2020 Primary Election.

As was widely expected and reported in the aftermath of Elon Musk going hostile on Friday morning, on Saturday morning Twitter adopted a measure that will shield it from hostile acquisition bids in a desperate step to prevent billionaire Elon Muskโ€™s offer to take the company private and make it a bastion of free speech.

 

The board set up a shareholder rights plan, also known as a "poison pill" which as we clarified yesterday for the benefit of the company's overly dramatic, overly literal and overly snowflake employees, is not literalโ€ฆ

 

โ€ฆ and which is exercisable if a party - read Elon Musk - acquires 15% of the stock without prior approval, lasting for one year (if the pill had expired the day after the midterms it may have been a bit too obvious). The plan seeks to ensure that anyone taking control of Twitter through open market accumulation pays all shareholders an appropriate control premium, according to a statement Friday.

 

For a company that has struggled greatly with value creation - on Friday TWTR stock closed at $45.08, or 18 cents higher than where it closed on its first day as a public company, or $44.90 - a poison pill defense strategy allows existing shareholders the right to purchase additional shares at a discount, effectively diluting the ownership interest of the hostile party. Poison pills are common among companies under fire from activist investors or in hostile takeover situations.

 

Under Twitterโ€™s plan, each right will entitle its holder to purchase, at the then-current exercise price, additional shares of common stock having a then-current market value of twice the exercise price of the right.

 

Twitter enacted the plan to buy time, Bloomberg reported citing a person familiar with the matter, although it wasn't clear time for what: at $54.20,Musk's offer represents a premium to the historical TWTR price since IPO on 92% of the time.

 

โ€ฆ is about to get bombarded with a barrage of lawsuits claiming it violated its fiduciary duty, the board also said it wants to be able to analyze and negotiate any deal, and may still accept it (spoiler alert: it won't).

 

Twitterโ€™s board met Thursday to review Muskโ€™s proposal - which according to the world's richest man was his โ€œbest and finalโ€ offer and who had already accrued a stake of more than 9% in Twitter since earlier this year - to determine if it was in the best interest of the company and all of its shareholders.

 

Included in Muskโ€™s securities filing disclosing the bid Thursday morning was a script of text he sent to the company. Longtime resident of the Olympia area passed away peacefully on March 6, 2009 at Evergreen Nursing Center, Lacey.

Herman, the youngest of three children, was born on August 9, 1921 in Juneau Alaska to Herman and Alta (Shaw) Porter. He graduated in 1940 from high school in Juneau and attended the University of Alaska in Fairbanks. His schooling was interrupted by WWII when he enlisted in the Armed Forces. He served as a tanker in the 12th Armored Division seeing action in Europe where he was wounded in France and Germany, receiving two purple hearts. Following months in army hospitals and discharge, he returned to college receiving his degree in Civil Engineering in 1949. Herman worked in Alaska building airports, rising to Director of Aviation for the Territory of Alaska. In 1958, he moved his family to Olympia and worked as a Structural Engineer in the Bridge Division of the Washington State Highway Department until his retirement in 1982. During retirement Herman was active in the community and church and spent many a winter month enjoying the sunshine near Niland California.

Herman was predeceased by his late wife of 49 years, Vivian R. Porter in 1999.

He is survived by his constant loving companion of the last nine years, Joyce Bratcher; sons, Herman M. Porter III of CA,Donald R. Porter of USVI, and James R. Porter of Olympia;three grandchildren, Duette Bennett, Zachary Porter, and Andrew Porter.

Memorial services to be announced at a later date. The family asks that in lieu of flowers, any donations be made to your local chapter of the Salvation Army.

 

PSC Reinstates Red Hook Ferry Schedule, OKs LEAC Increase

In testimony before the PSC board Wednesday evening, both Varlack Ventures and Transportation Services agreed to revert to the regular Red Hook-Cruz Bay ferry schedule. In fact, although the PSC had granted their request to reduce the number of trips, Delrise Varlack informed board members that they had not changed the ferry schedule and were still running all of the scheduled trips.

Following the Public Services Commissionโ€™s decision weeks ago to allow the ferry companies to reduce ferry runs between Red Hook and Cruz Bay, PSC board Chair Joseph Boschulte was besieged by calls and e-mails from concerned members of the community. Therefore, the ferry companies were asked by the PSC to reconsider.

Board members heard brief testimony from Monique Sibilly-Hodge, speaking on behalf of the V.I. Department of Tourism,Don Porter on behalf of the St. John Chamber of Commerce, and Lorelei Monsanto on behalf of the St. John Unity Day Group, along with a few St. John residentsโ€”all concerned about the effect the reduced schedule will have on the St. John economy.

All who spoke were grateful for the ferry companies agreement to keep the Red Hook-Cruz Bay schedule as is, but also implored the ferries to consider reinstating the runs from Cruz Bay to downtown Charlotte Amalie and vice versa.

โ€œXi Jinpingโ€™s China is our greatest challenge, in many ways the most profound test the CIA has ever faced,โ€ Burns continued. โ€œAs an intelligence service, we have never had to deal with an adversary with more reach.โ€

 

It seeks to overtake us in literally every domain, from economic strength to military power, and from space to cyberspace.

 

Calling China a โ€œsilent partnerโ€ in Russiaโ€™s โ€œaggressionโ€ against Ukraine, the intelligence chief also warned that the ongoing military operation posed an โ€œimmediate threat,โ€ suggesting that โ€œdesperationโ€ on the part of President Vladimir Putin could trigger a nuclear exchange.

 

โ€œNone of us can take lightly the threat posed by a potential resort to tactical nuclear weapons or low-yield nuclear weapons,โ€ he said.

 

However, Burns also noted that despite โ€œrhetorical posturingโ€ from Moscow โ€“ which placed its nuclear forces on a higher alert status soon after launching its attack on Ukraine in late February โ€“ US intelligence agencies โ€œhaven't seen a lot of practical evidence of the kind of deployments or military dispositions that would reinforce that concern.โ€

 

Since taking office, US President Joe Biden has repeatedly presented China as Washingtonโ€™s top adversary, continuing a series of hostile policies carried over from the Trump administration. American warships have been regularly deployed to disputed waters in the South China Sea, and have made near-monthly transits of the Taiwan Strait despite vocal objections from officials in Beijing.

Russian Long-Range Bombers Strike Ukraine For 1st Time In War

 

For the first time since the Feb.24 invasion, it's being widely reported that the Russian military has struck Ukrainian targets using long-range bombers. Ukrainian defense ministry spokesman Oleksandr Motuzyanyk said Friday that bombs were dropped by Tu-22M3 aircraft over positions in the port city of Mariupol.

 

"On April 14, two Russian strategic heavy bombers Tu-95/-160 have launched cruise missiles hitting the territory of Ukraine from Krasnodar Krai of Russian Federation airspace," he said. "Also for the first time from the start of the armed aggression bombs were dropped by a long-range bombers Tu-22M3. This airstrike took place, hitting Mariupol."

 

It's believed Russian forces are attempting to secure a corridor that stretches from Mariupol to the Crimean Peninsula as the war for the Donbas region heats up. Motuzyanyk described that there are still major street battles happening in and near Mariupol, which before the war had nearly 500,000 people.

 

The use of long-range bombers could signal the start of a new Russian strategy. The Kremlin has recently admitted it's suffered bigger than expected casualties, with many analysts pointing out that so far Russia has been restrained when it comes to major bombing raids on Ukrainian cities.

 

It also became evident early on that Russia's military appeared to be restraining its use of airpower, resulting in many instances of unprotected tank convoys being ambushed with often foreign-supplied anti-tank missiles, such as the Javelin.

 

The timing of this latest development is interesting also given the Thursday sinking of the Moskva cruiser off Odessa's coast, which was considered the Russian Navy's flagship in the Black Sea. It was reportedly hit by a pair of Neptune anti-ship missiles, and Ukraine is celebrating it as a major victory. This as Russia claimed the ship was destroyed by accidental fire which ignited munitions.

Twitter Suspends LibsofTikTok For Featuring Liberals Talking About Themselves?

 

Twitter has continued its ever-widening censorship of social media this week with the suspension of the popular site, The @LibsofTikTok. What is interesting about this latest move is that it lacks even the pretense of neutrality. The liberal group Media Matters had targeted the site due to its use by Fox News and conservatives to run embarrassing stories for the left. So Twitter suspended a site that entirely features liberals talking about themselves.

 

Twitter suspended the site for โ€œhateful conduct.โ€ It warned the site โ€œYou may not promote violence against, threaten, or harass other people on the basis of race, ethnicity, national origin, sexual orientation, gender, gender identity, religious affiliation, age, disability, or serious disease.โ€

 

However, the site highlights liberals speaking about themselves and their values in their own voices. There is no explanation, which is common for the company. It simply suspended the site and told it to reform itself.

 

Formed in November 2020, the โ€œLibs of Tik Tokโ€ account has more than 613,000 followers on Twitter and has become a major feeder for conservative new sites. Clearly, if the site changes videos or misrepresents what was said, it can be sued for defamation or false light. However, the primary objections online is that the site fuels criticism of the left.

 

The success of the site drew the familiar crowd demanding the silencing of opposing voices or groups.

 

Notably, the liberal Media Matters stressed that the site had simply become too successful. Sophie Lawton described the reposting of liberal voices as โ€œtargeting teachers and schools with anti-LGBTQ smears.โ€ She described that the site was growing in influence as the basis for stories by Fox, Joe Rogan, Meghan McCain and others. However, all she describes is the use of tapes of liberal subjects talking about themselves and objects that โ€œthe Libs of TikTok content has become ammunition for their arguments.โ€

 

That was apparently enough for Twitter, which defined reposting liberals to be a form of hateful conduct.

 

The action seems consistent with the chillingly anti-free speech agenda of Twitter CEO Parag Agrawal. In an interview with Technology Review editor-in-chief Gideon Lichfield, he was asked how Twitter would balance its efforts to combat misinformation with wanting to โ€œprotect free speech as a core valueโ€ and to respect the First Amendment. Agrawal responded:

 

โ€œOur role is not to be bound by the First Amendment, but our role is to serve a healthy public conversation and our moves are reflective of things that we believe lead to a healthier public conversation. The kinds of things that we do about this is, focus less on thinking about free speech, but thinking about how the times have changed.

 

One of the changes today that we see is speech is easy on the internet. Most people can speak. Where our role is particularly emphasized is who can be heard. The scarce commodity today is attention. Thereโ€™s a lot of content out there. A lot of tweets out there, not all of it gets attention, some subset of it gets attention.โ€

SAN FRANCISCO โ€“ Elon Muskโ€™s huge Twitter investment took a new twist Tuesday with the filing of a lawsuit alleging that the colorful billionaire illegally delayed disclosing his stake in the social media company so he could buy more shares at lower prices.

 

The complaint in New York federal court accuses Musk of violating a regulatory deadline to reveal he had accumulated a stake of at least 5%. Instead, according to the complaint, Musk didnโ€™t disclose his position in Twitter until heโ€™d almost doubled his stake to more than 9%. That strategy, the lawsuit alleges, hurt less wealthy investors who sold shares in the San Francisco company in the nearly two weeks before Musk acknowledged holding a major stake.

 

Musk's regulatory filings show that he bought a little more than 620,000 shares at $36.83 apiece on Jan. 31(kek, buying since January) and then continued to accumulate more shares on nearly every single trading day through April 1. Musk, best known as CEO of the electric car maker Tesla, held 73.1 million Twitter shares as of the most recent count Monday. That represents a 9.1% stake in Twitter.

 

The lawsuit alleges that by March 14, Musk's stake in Twitter had reached a 5% thresholdthat required him to publicly disclose his holdings under U.S. securities law by March 24. Musk didn't make the required disclosure until April 4.

 

That revelation caused Twitter's stock to soar 27% from its April 1 close to nearly $50 by the end of April 4's trading, depriving investors who sold shares before Musk's improperly delayed disclosure the chance to realize significant gains, according to the lawsuit filed on behalf of an investor named Marc Bain Rasella. Musk, meanwhile, was able to continue to buy shares that traded in prices ranging from $37.69 to $40.96.

 

The lawsuit is seeking to be certified as a class action representing Twitter shareholders who sold shares between March 24 and April 4, a process that could take a year or more.

 

Musk spent about $2.6 billion on Twitter stock โ€” a fraction of his estimated wealth of $265 billion, the largest individual fortune in the world. In a regulatory filing Monday, Musk disclosed he may increase his stake after backing out of an agreement reached last week to join Twitter's board of directors.

 

Jacob Walker, one of the lawyers that filed the lawsuit against Musk, told The Associated Press that he hadn't reached out to the Securities and Exchange Commission about Musk's alleged violations about the disclosure of his Twitter stake. โ€œI assume the SEC is well aware of what he did," Walker said.

 

An SEC spokesperson declined to comment.

 

The SEC and Musk have been wrangling in court since 2018 when Musk and Tesla agreed to pay a $40 million fine t o settle allegations that he used his Twitter account to mislead investors about a potential buyout of the electric car company that never materialized. As part of that deal, Musk was supposed to obtain legal approval for his tweets about information that could affect Tesla's stock price โ€” a provision that regulators contend he has occasionally violated and that he now argues unfairly muzzles him.

Daszak proposes an initial investment worth over $500 billion, which would ultimately be increased to $829 billion with โ€œannual investments to maintain capacityโ€:

 

Under reasonable assumptions, our analysis predicts maximum gains arise from an initial investment of $511 billion, followed by a steady increase of up to $829 billion and supported by annual investments to maintain capacity. The returns to these investments would range between $9-$15 in benefits per dollar invested. President Macron stated this week that he was open to the idea of dismantling social media giants, claiming they can have a negative effect on society as a whole and that some may be deemed to be monopolies.

Trump ally Devin Nunes loses CNN defamation appeal

 

NEW YORK, April 14 (Reuters) - A federal appeals court said Devin Nunes, the former California congressman and an ally of former U.S. President Donald Trump, cannot revive his defamation lawsuit against CNN over reports he was involved in efforts to uncover damaging Ukraine-related information about Joe Biden.

 

In a 2-1 decision on Thursday, the 2nd U.S. Circuit Court of Appeals in Manhattan said Nunes failed to seek a correction fast enough, or show he deserved "special damages" for economic loss.

 

Circuit Judge William Nardini said the trial judge "did not err" in finding that Nunes did not comply with applicable California law governing retractions, and thus his $435 million lawsuit should be dismissed with prejudice.

 

CNN is a unit of Warner Bros Discovery Inc .

 

A lawyer for Nunes did not immediately respond to requests for comment. CNN's lawyers did not immediately respond to similar requests.

 

Nunes sued over a Nov. 22, 2019 article that said Lev Parnas, a then-indicted associate of former Trump lawyer Rudolph Giuliani, was willing to testify before Congress that Nunes met in 2018 with a former Ukrainian prosecutor to discuss "digging up dirt" on Biden, a Democrat and now U.S. president.

 

The former Republican congressman also objected to a broadcast of CNN's "Cuomo Prime Time," where the reporter and host Chris Cuomo discussed his alleged role in "looking for dirt" on Biden and his son Hunter.

 

Nunes denied the accusations, said his reputation was damaged, and branded CNN "the mother of fake news."

 

Circuit Judge Steven Menashi dissented from Thursday's decision, saying the laws of New York, where the reporter and Cuomo worked, governed Nunes' claims.

 

Trump appointed all three judges on the appeals court panel.

Seven years ago, van den Ende worked in Syria, months before the Russians stepped in at the request of Syrian President Bashar al-Assad and changed the tide. The parallels between the Western mainstream pressโ€™ coverage of the Syrian and the Ukrainian conflicts are striking, according to her.

She specifically recalls the 4 April 2017 chemical provocation in Khan Sheikhun, Idlib, which was debunked by investigative reporters including Pulitzer-Prize winning journalist Seymour Hersh.

 

โ€œThe same happened in Bucha,โ€ says the Dutch journalist. โ€œMany witnesses are saying that the Russian army left on 30 March. Even the Ukrainian military who came in on 1 April didnโ€™t report about corpses on the streets. This happened on 3 April, according to the Western media. Also, evidence is saying that the bodies had white armbands, the sign of the Russian army, the soldiers wear them. So the soldiers are killing the Russian Ukrainians? No way.โ€

Van den Ende talked to many Ukrainian civilians while travelling across Donbass. According to her, nearly everyone condemned the Kiev government for prohibiting the Russian language and depriving them of many cultural and domestic human rights.

 

โ€œThe majority of the people whom I spoke with were very happy that the [Russian special] operation has started,โ€ the Dutch journalist says. โ€œOf course, nobody wants violence and war, but they have been suffering already eight years from the war, carnage and destruction by the Ukrainian forces. The worst were the Nazi battalions, who were fighting along with the regular army.โ€

At this point, Ukraine hasnโ€™t confirmed that it carried out the strikes and had rejected Russian accusations about a cross-border attack earlier this month. On April 1, Russian authorities accused Ukraine of launching a helicopter attack on a fuel depot in Belgorod, Russia.

 

Ukrainian officials initially denied the Belgorod attack, and Ukrainian President Volodymyr Zelensky chose not to comment on the incident when asked about it in a Fox News interview. โ€œIโ€™m sorry. I do not discuss any of my orders as commander in chief, the leader of this state, and there are things which I only share with the military armed forces of Ukraine and when they talk with me,โ€ he said.

 

The US has been sharing intelligence with Kyiv to help the Ukrainians target Russian forces inside Ukrainian territory. Russia sent a formal diplomatic note to the US this week calling on Washington and NATO to stop arming Ukraine. The note, which was obtained by The Washington Post, said the Western campaign to pour weapons into Ukraine was โ€œadding fuelโ€ to the conflict and could lead to โ€œunpredictable consequences.โ€

 

The diplomatic note was sent Tuesday, when news broke of a new massive US military aid package for Ukraine. President Biden announced the new aid on Wednesday, which is worth $800 million and includes howitzers for the first time. The package also includes helicopters, armed Switchblade drones, coastal defense drones, armored vehicles, radar systems, and thousands of Stinger and Javelin missiles.

 

The Russian note was sent to the State Department by the Russian Embassy in Washington. It said the US and its NATO allies were ignoring โ€œrigorous principlesโ€ on the transfer of weapons into the conflict zone and said the Western powers are oblivious to โ€œthe threat of high-precision weapons falling into the hands of radical nationalists, extremists and bandit forces in Ukraine.โ€

 

The Russians accused NATO of pressuring Ukraine to โ€œabandonโ€ peace talks with Moscow โ€œin order to continue the bloodshed.โ€ The US and most of its NATO allies have shown little interest in supporting the negotiations between the warring sides. The Western powers are signaling that they donโ€™t want Kyiv to make any concessions to Moscow.

 

The Post reported last week that for some NATO members โ€œitโ€™s better for the Ukrainians to keep fighting, and dying, than to achieve a peace that comes too early or at too high a cost to Kyiv and the rest of Europe.โ€

 

The formal Russian protest of the US arming Ukraine could be a precursor to Russia launching airstrikes on weapons shipments in Ukraine. On Wednesday, Russian Deputy Foreign Minister Sergei Ryabkov warned that Moscow would view US or NATO vehicles transporting arms inside Ukraine as โ€œlegitimate military targets.โ€

 

Itโ€™s not clear if any US or NATO vehicles have actually brought weapons into Ukraine since Russia invaded. Pentagon spokesman John Kirby has said that Ukrainian troops bring the weapons into Ukraine after the US brings them to Eastern Europe. So far, there havenโ€™t been reports of Russia targeting weapons shipments as they enter Ukraine, but Moscow has hit weapons depots. Earlier this week, Russia said it destroyed an S-300 missile defense system in Ukraine that was provided by a European country.

 

Russiaโ€™s protest highlights the danger of the US-led campaign to pour weapons into Ukraine and the risk of provoking Moscow. On top of arming the Ukrainians, the US is also providing them with intelligence for attacks on Russian forces. The huge amount of support raises questions about at what point Russia would consider the US a co-belligerent in the war.
